Company Secretary (CS) and Legal Advisor

Experienced in Company Secretary cum Legal Advisor to join our esteemed organization. The successful candidate will be responsible for overseeing all compliance matters in accordance with the Companies Act, SEBI regulations, and ensuring adherence to the highest standards of corporate governance. Familiarity with other relevant laws, including taxation, contracts, and metrology, is crucial for this role.

Key Responsibilities:

1. Legal Compliance:

- Ensure strict compliance with the Companies Act, 2013, SEBI Act, 1992, and other relevant statutory laws.

- Stay abreast of legislative changes and update the management on legal implications.

2. Corporate Governance:

- Implement and maintain robust corporate governance practices within the organization.

- Facilitate board and committee meetings, ensuring compliance with legal and procedural requirements.

- High level of integrity and discretion.- Assist in the organization of board and committee meetings, including the preparation of agendas, board packs, and minutes.

3. Board Support:

- Assist in the organization of board and committee meetings, including the preparation of agendas, board packs, and minutes.

- Act as a liaison between the board and executive management.

4. Statutory Filings:

- Manage the preparation and filing of statutory documents, including annual returns and financial statements, under the Companies Act, 2013.

- Ensure timely submissions to regulatory bodies and government authorities, adhering to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

5. Shareholder Relations:

- Facilitate communication between the company and its shareholders.

- Coordinate the organization of general meetings, including the drafting of notices and related documentation, as per Companies (Management and Administration) Rules, 2014.

6. Legal Advisory:

- Provide legal advice on various matters, including contracts, agreements, and compliance issues under the Indian Contract Act, 1872.

- Conduct legal research and analysis to support business decision-making.

7. Record Keeping:

- Maintain accurate and up-to-date records of board decisions, legal documents, and other corporate records, as mandated by Companies (Audit and Auditors) Rules, 2014.

- Manage the company's statutory registers in accordance with Companies (Appointment and Qualification of Directors) Rules, 2014.

Qualifications and Experience:

- Bachelor's degree in Law (LLB) and a qualified Company Secretary (CS).

- Around 15+ year's experience as a Company Secretary and Legal Advisor in a reputed organization.

- In-depth knowledge of corporate laws, SEBI regulations, and other applicable statutes.

- Strong organizational and multitasking abilities.

- High level of integrity and discretion.
