Job Description: We do have one urgent requirement with one of our IT client for Company Secretary in Whitefield location Bengaluru Company Secretary with Compliance-Corporate Secretarial , Legal and Compliance, Finance; - Manage Corporate secretarial activities such as, shifting of Registered Office from one state to another, Name change of the company, amendments to Memorandum and Articles of Association, Convening Board Meetings and General Meetings, Drafting Annual Report, Agenda, Minutes, Circulars Resolutions, etc. - Managed corporate compliance, including E-form uploads to Ministry of Corporate Affairs (MCA), Disclosure requirements under Section 274(1)(g), 299 and 305 of Companies Act, 1956, maintenance of various Statutory Registers under Companies Act, 1956 and the Rules there under, Filing of Annual Returns with RBI, and other general Corporate Secretarial compliance activities. - Managing and reviewing internal policies and guidelines of the Company such as Anticorruption guideline, Approval guideline. etc to ensure Compliance with Company standards and policies and also guiding the departments in following the standards - Ensuring that proper sequences of activities are duly followed during execution of Lease deed. - Convening Meetings of the Board, General Meetings, and Committee Meetings, in accordance with the Companies Act - Managed the transition from Companies Act, 1956 to Companies Act, 2013. - Leading the design and delivery of senior management trainings pertaining to the changes in Companies Act and advising management on the applicability of provisions of Companies Act, as and when new products/processes are introduced - Maintained regulatory compliance by monitoring changes in relevant legislations and regulatory environment and ensuring best practices are implemented for ensuring compliance - Developed a compliance framework based on Companies Act and FEMA for downstream investment in Wind Energy, including ensuring proper compliances of the Power Purchase Agreement regarding shareholding, minimum energy consumption, etc., resulting in full compliance to outlined rules and regulations - Managed the appointment and removal of directors - Managed compliances pertaining to the closure of Liaison Office of the Company - Amendment in Memorandum of Association and Articles of Association of the Company as and when required - Drafting various corporate policies and guidelines such as, Vigil Mechanism policy, Corporate Social Responsibility policy, etc. - Managing all regulatory matters in compliance pertaining to Right issue of shares to the Foreign Holding Company - Ensuring compliances pertaining to FEMA, complying with Annual Return on Assets and Liabilities, FCGPR, etc. Advising the management and seeking opinion from Department of Industrial Policy and Promotion on the FEMA compliance on any business decisions - Overseeing statutory compliance and providing support for Group and Statutory Audit - Instrumental in the year-end compliances, Related party transactions, Segment reporting, notes to accounts, etc. - Part of internal control team - Playing a key role in framing various internal processes in Finance, analysing and reviewing risks and controls to ensure there are no control deficiencies for establishing effective implementation of Internal Finance Controls - Performing internal control Risk Assessment and monitoring the implementation of established action plans, including management reporting to the Board of Directors - Leading Inventory management control activities, including inventory write down/adjustments. analysis and preparation of Provisions for Shrinkage and Stock valuation, and impact assessment on the accounting functions with revisions to the procedures where necessary - Analysing expense schedules and summarising the business financial position - Managing the allocation of expenses/income of Head office and Warehouse to various stores - Managing the Intercompany accounts, including receivables and payables of all group Companies in compliance of both financial and FEMA aspects - Monitoring contracts and agreements and ensured proper booking of expenses as per Company policy.
