Company Secretary (CS) will be responsible for regulatory functions including incorporation of entities, preparation and supporting third party audits, on-time, and quality filing of annual returns, dealing with amendments in regulations. A key advisor to the board, CS will be support in setting the agenda and conducting the board meetings on-time, guiding the board incorporate laws and advising on corporate governance.

A vital link between the company and its Board of Directors, shareholders, government and regulatory authorities and all other stakeholders. The CS ensures that Board procedures are followed and regularly reviewed and provides guidance to the Directors on their responsibilities under various laws.

CS is the custodian of organizations Corporate Governance programs

The CS's responsibilities will span all jurisdictions where the company is present.

Responsibilities include the following:

CORPORATE GOVERNANCE AND SECRETARIAL SERVICES:

- Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines

- Assists in developing a corporate and social sustainability framework

- Handles the promotion, formation and incorporation of companies and matters related therewith

- Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative

- Coordinate the board/general meetings and follow-up actions thereof

- Acts as the custodian of corporate records, statutory books and registers

- Manages the Secretarial/Compliance Audit

- Signing of Annual Return where necessary and responsible for other declarations, attestations, and certifications under the Companies Act, 1956 for India, and for similar requirements across all other jurisdictions.

CORPORATE LAWS ADVISORY AND REPRESENTATION SERVICES:

- Advises to organization on Compliance of legal and procedural aspects under various corporate laws and acts particularly relating to Securities and Exchange Board, Foreign Exchange, Consumer Protection, Environment, Labour, Mergers and Acquisitions, Foreign Collaborations and JV's, subsidiaries,

Competition :

- Responsibilities extend to similar requirements, as applicable, across all legal entities.

- Will be responsible to represent organization and other connected persons before various boards and forums including but not limited to Company Law Board, SEBI, Registrar of Companies, Tax Tribunals, Consumer Forums and Other quasi-judicial bodies and Tribunals

ARBITRATION AND CONCILIATION SERVICES:

- Advises the company on arbitration, negotiation, and conciliation in commercial disputes between various parties

- Acts as arbitrator/conciliator in domestic and International commercial disputes

- Drafts Arbitration/Conciliation Agreement/Clause

OTHER AREAS:

- Participate and assist Banking Services, Finance and accounting Services, Taxation Services

- Will also assist, participate, partner with internal and external stakeholders in areas of;

- Corporate Social Responsibility

- Communication with various stakeholders, like Government, Regulators, Authorities etc., Industrial and labour laws

Structure and Reporting

An integral part of the legal team of organization, the Company Secretary will report to the General Counsel and will be expected to work in close cooperation with other members of the legal team, business leaders and board members. A legal mentor for the extended legal team and the organization.

Candidate Specification :

Should be Qualified Company Secretary

- A legal degree, and experience in a legal firm, will be an advantage

- Must have at least 10 - 20 years of relevant experience in the Corporate Secretarial with organisation of repute.

- Experience of having managed the Co-Sec function across multiple jurisdictions (including the APAC, ME and Africa).

- Excellent command over all aspects of Company Secretary and compliance matters.

- Knowledge of laws and regulations for IT Industry.

- High quality written and verbal communication skills, strong listening skills

- Excellent interpersonal skills and a demonstrated ability to interact with all levels in the organization
