Company Secretary @ Bangalore, India  Our client is a well-known IT company, publicly listed and headquartered at Bangalore. They need to fill the following position asap. Ideal candidate would be a Hindi speaking individual from Delhi/ NCR willing to relocate to Bangalore.  Position : Company Secretary  Education : Qualified Company Secretary ( CS )  Experience : 10 - 15 years  Location : Bangalore. Ideally a Hindi speaking person from Delhi/ NCR and open to relocate to Bangalore.   Compensation : Competitive and commensurate with candidate caliber and experience  Role Responsibilities and Desired Profile :  - Candidate must be a Qualified Company Secretary with post qualification experience of at least 10 years, and should currently be working in a listed company.   - Needs to have a very strong base in the Core Secretarial function of a Listed Company, preferably with one which has overseas 100 % WOS.   - Well conversant with New Companies Act, 2013, SEBI Guidelines, Listing Agreement requirements and FEMA. Strong background in advising on procedural matters under the Companies Act, 2013.   - Organizing company's board meetings; preparation of notices, agenda, resolutions and preparation of minutes. Complete management of AGM and shareholders at Delhi.   - Independently holding of Committee Meetings like audit committee, remuneration committee, etc. Including direct interaction with board members.   -Secretarial aspects in relation to the ESOP plan including grants, exercise, lapsing, forfeiture, conversion to shares etc.  - Aware of legal practices in creation of foreign subsidiary and other secretarial operations and similar foreign branch operations. Person who has worked in a company having global operations is preferred.   - Liaising with external regulators and advisers, such as lawyers, auditors, government authorities, etc. Dealing with foreign consultants and teams for compliance regarding overseas entities.   - Dealing with Stock Exchanges, RTA, Depositories, Regulatory Authorities (SEBI, and RBI), Statutory and Internal auditors etc.   - Should possess very good drafting skills - Board Resolutions, Notices, Agreements, Policies, other communications, etc. Should be well conversant with drafting of legal agreements and documents.   - Should possess excellent professional written and verbal communication and inter personal skills.
