Job Description : 1. Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate and Other Business Laws and regulations and guidelines 2. Will be responsible for managing Secretarial compliance for all Indian Subsidiary entities and few overseas subsidiaries 3. To ensure filing of various returns under Companies Act, 2013 and with Reserve Bank of India 4. To assist for incorporation of new legal entities in India and abroad 5. To assist for liquidation/winding up or restructuring of entities in India and abroad 6. To assist for ensuring of compliance of economic substance requirements in various Geos where applicable. 7. Co-ordinating with Secretarial Auditor, Statutory Auditor and Internal Auditor 8. Organising, preparing agendas for and taking minutes of board meetings of subsidiary entities and ensuring the compliance of annual general meetings 9. Assisting for Conducting Board Meeting, Committee Meetings and Annual General Meeting of the Company 10. Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action 11. Drafting and finalization of Power of Attorney, letter of authorization for delegation of authority etc. 12. To ensure updation of statutory registers and various other trackers etc. 13. To ensure to have the repository of all the Secretarial and compliance related documents in safe custody both in physical and online mode. 14. To assist for managing the Global Insurance programmes of WEL 15. To assist in ensuring the compliance of Corporate Social Responsibility obligations and to liaison with implementing agencies to ensure the CSR money is spent in most appropriate manner.
