Company Secretary And Head Finance - We are in the process of identifying a Company Secretary and Head of Finance, reporting to CFO for a Multi National Indian Group with a Group turnover exceeding 12000 Crores. - The Group has interests in Agro Chemicals, Liquor, Hospitality, Cosmetics and Education. - We request you to kindly go through the company profile as well as the details of position. Position : Company Secretary and Head Finance Reporting to : CFO Reported by : Secretarial and finance functions Based at : Head Office, Delhi Job Purpose : To secure compliance with Company law & other legislations as applicable, and to make arrangements for availability/deployment of funds and to over see the entire finance and accounts function of the given Business Entities. Key Results Areas : - To ensure meticulous compliance with company law so that no contravention of law takes place - To interact with directors, solicitors, advocates, bankers, Company Affairs, and Shareholders etc. - To perform roles & responsibilities as mandated/ bestowed from time to time, such as, Secretary to Audit committee and Share Transfer, Shareholders Grievance Committee, etc. - To ensure surplus funds are invested effectively - To ensure that the funds for business are organised and made available at the cheapest possible rates. - To coordinate management processes within the organization. - To maintain good working relationships with various internal & external interfaces. Key Tasks : - Co-ordination with all whole time & independent directors - Immaculate record keeping of minutes, resolutions etc. - Board meeting agenda & co-ordination thereof - Ensure complete compliances in respect of owner family & directors. Towards this responsibility the jobholder has to a) Understand all the relevant laws and its implications. b) Ensure all requisite documentation and compliance - To study the money market and analyse various options with the objective of securing maximum returns for the company. In doing all this, the thrust is to ensure that the investment is safe, yielding, superior returns and are liquid in nature. - Assess various alternative sources in the market and makes appropriate recommendations for decision. Negotiate and finalise borrowing from Banks / other lenders and ensures complete documentations. - To ensure that the management processes such as contracts for various projects, decision on power / authorities of people are in accordance with the applicable laws, corporate governance requirements and the policies of the board and management. - To invest time in building healthy relations with various government authorities, bankers and external auditors for enhanced company image. - To ensure sound stakeholder management skills & clarity of communication - To comply with guidelines/responsibilities applicable to role assigned in various committees - Manage Owner Family trust related matters. - Ensuring all returns & reporting to Govt. & other agencies in respect of the corporate laws requirements.
