ROLE:

1. Requires expert-level working knowledge of compliances related to Companies Act, 2013, FEMA, Pre-paid Instruments governed under the Payment and Settlement Act and notifications issued by the Reserve Bank of India.

2. Advising on the Unified Payment Interface (UPI) a payment mechanism from National Payments Corporation of India (NPCI), finalizing the agreements and related documents related to technology service provider (TSP). PPI Regulations, Prevention of Money Laundering Act.

3. Filing of monthly, quarterly, half yearly, annual and other periodical reports with RBI. Liaising with Registrar of Companies, RBI (Department of Payment and settlement systems, Foreign Exchange Department), Financial Intelligence Unit, Cyber-cell and other Nodal agencies on compliance and audit matters. Filing of suspicious transaction report with FIU.

4. Drafting, review, negotiating and finalizing business critical agreements such as Escrow agreement, Nodal agreement, merchant agreements, NDA, MoU etc. Ensuring compliances under RBI, FEMA and other applicable statutes as applicable for E-commerce marketplace, capital infusion by foreign entities etc.

5. Coordinating with external Legal advisors for matters affecting the Company.

6. Exposure to Merger/Amalgamation of Companies and Private Placement of Shares, drafting and executing Share
Subscription Agreement.

7. Meeting with and advising business, operations and functional teams on the impact of regulatory matters, ability to identify potential issues and proactively plan action to mitigate legal, business and financial risks client.

8. Be a self-starter and self-motivated individual and display high ownership and enthusiasm at work.

9. Prepare and submit updates and reports.

3. Knowledge of basic computer applications.

4. Ability to work effectively and collaboratively as part of a senior management team responsible.
