The Candidate should be currently working in a listed company with 10-15 years of PQE.  The Candidate will need to undertake the following:  1. Preparing agenda and minutes of board and committee meetings of the company.  2. Schedule and attend meetings board and committee meetings of the company.  3. To conduct annual general meeting, addressing shareholder queries etc.   4. Seeking legal opinions from the counsel/legal advisors of the company on important legal matters  5. Complying with the various requirements with respect to Companies Act, 2013, SEBI Rules and Regulation, Listing Agreement and RBI norms.  6. Liaisoning with various regulators like Registrar of Companies, Official Liquidators, Stock exchanges, SEBI, NSDL and CDSL.  7. Preparing annual reports of the company viz. Board report, MDA, Corporate governance etc.   8. Co-ordination with Statutory, Internal and Secretarial Auditors.  9. Maintenance and updating statutory records and registers.  10. Monitoring and advising the management on the necessary changes in regulatory compliances and legislation.  11. Handling dividend and IEPF related process.  12. Coordinating with RTA relating to shares and oversee its activities .  13. Ensuring compliances under the SEBI.  14. Litigation:  - To handle Regular Suits, Summary Suits, Writ Petitions, Consumer Complaints, Accident Claims and Unfair Labor Practice Matters etc.  - To handle Arbitration Matters; drafting statement of claim, reply, written arguments & statement of claims. Facilitating conciliatory measures to various corporate houses.   - Conceiving legal strategies on cases pertaining to Civil, Criminal, and Property laws after careful assessment of case history, merits and demerits.  - To represent the organization in Consumer Forums, Debt Recovery Tribunals, High Court and City Civil Court and other courts with respect to claims of various Financial Institutions.
