Company Secretary - from NIFTY 100 companies

- Responsible for all core secretarial functions of the organization relating to Board, Committees and Annual General Meetings as well as domestic and overseas compliances.

- Advisory role to Group Companies for implementation of standard Board practices/policies and implementation of new regulations.

- Handling the interactions with the directors for various Board/Committee requirements.

- Management of compliances under Companies Act, SEBI regulations (Listing, ESOS, Takeover, Insider Trading etc) management of investor relations and Registrar and Transfer Agents, handling regulatory inspections.

- Management of compliances with respect to overseas regulations through liasing with legal counsel in connection with listing of ADRs on NYSE, bonds etc raised by overseas branches

- Advisory role to business groups for granting compliance approvals for new products/processes relating to the business particularly related to insurance regulations and capital market areas.

- Guidance at an organisational level to various groups on matters concerning interpretation and implementation of various corporate laws.

- Management at a Group level for formulation and implementation of Group Policies, new regulations, standard secretarial practices across domestic and overseas subsidiaries in the Group.

- Engaging with Ministry of Corporate Affairs, SEBI, Stock Exchanges, IRDAI for regulatory interactions as well as feedback on upcoming legislations, discussion papers on regulatory amendments etc. organization wide dissemination and implementation of relevant legislations.
