Company Secretary
- Entity incorporation including coordinating with the banks for the opening of corporate bank accounts for the multinational clients' subsidiaries in India
- Corporate Compliance: Continuously monitoring changes & ensuring adherence to all applicable laws, rules, and regulations related to client company's/ LLP's operations. Advising the board and management on compliance issues.
- Board Meetings: Organizing and documenting board meetings, including preparing agendas, taking minutes, and ensuring that decisions are properly recorded and communicated.
- Filing of Statutory Documents: Ensuring the timely filing of statutory documents with regulatory authorities, such as RoC, MCA, and other relevant bodies. Preparation and filing of forms with relevant organizations.
- Annual Compliance Calendar: Maintain company law compliance calendar; develop and manage an annual compliance calendar, ensuring all regulatory obligations are met within stipulated timelines.
- Maintain Statutory Registers: Keep accurate records of statutory registers and ensure they are up to date.
- Legal Documentation: Draft and review various applications, appeals, petitions, legal documents, agreements, and contracts to ensure compliance with applicable laws and regulations.
- Communication: Serving as a liaison between the client company and the regulatory authorities, shareholders, and other stakeholders. Handle related administrative tasks, preparation of board and shareholder meeting documents etc.
- Compliances in accordance with the Foreign Exchange Management Act, 1999
