Company Secretary - AMC

- To assist the Company Secretary in ensuring compliance with the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable SEBI Regulations group policies, and other relevant economic legislations etc.

- Organize shareholder meeting and Board of Directors meeting and prepare minutes of meetings in compliance with laws, including follow up matters arising from the meetings resolutions.

- Advise the Board of Directors on relevant legal issue that must be used in performing their duties for benefits to the Bank.

- To establish and drive implementation of Corporate Governance norms and disclosure requirements, listing regulations, code of ethics, code of conduct, etc. to ensure transparency in all operations.

- To ensure the arrangement and holdings of various board/committee/general meetings and preparing notice, agenda, minutes, reports, policies.

- Promotion, formation and incorporation of new companies and matters related therewith. Filing, registering documents including forms, returns and applications.

- Maintenance of secretarial records, statutory books and registers.

- Filing of returns with Registrar of Companies.

- Take minutes, draft resolutions, and lodge required forms and annual returns.

- Follow up on actions from meetings.

- Oversee policies, making sure they are kept up to date and referred to the appropriate committee for approval.

- Maintain statutory books, including registers of members, directors and secretaries.

- Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant Bank stakeholders.
