Company Secretary

Job Description:

- To comply with all compliances as defined under Companies Act, 2013 and SEBI (LODR), 2015, Secretarial Standards issued by ICSI, any other SEBI Regulations and RBI guidelines.

- To facilitate the convening of meetings and to attend Board, Committee and general meetings and maintain the minutes of these meetings; (producing agendas, taking minutes, conveying decisions, handling meeting correspondence)

- Assisting to obtain approvals from the Board, general meeting, and the other Statutory authorities as may be required

- Overseeing filing of all required forms and returns to ROC/other Statutory Authorities.

XBRL filings;

- Ensuring maintenance of all statutory records like registers, minutes etc.

- Managing the Secretarial/Compliance Audit

- Complying with the provisions of the Foreign Exchange Management Act, 1999 and its regulations wherever required with related filings to RBI, if required as per RBI Regulations from time to time.

- To assist and advise the Board in ensuring good corporate governance and in complying with the corporate governance requirements and best practices

- To perform such other duties as may be assigned by the team from time to time.

- Strong administrative skills and an aptitude for using IT software;

- Meticulous attention to detail;

- Good interpersonal skills;

- Ability to take initiative and work under pressure.

Other details:

Listed Company's exposure is a must.
