Secretarial

1. Draft petitions & applications under the Companies Act

2. Represent the company at the Department of Company Affairs, Company Law Board & Registrar of Companies

3. Prepare annual returns and forms to be filed with Registrar of Companies and comply with filing timelines

4. Organize Board meetings and general body meetings, maintain statutory records, minutes, registers of the Company

5. Knowledge related to dealings with SEBI, Stock Exchange, etc.,

6. Exposure to matters related to public fund raising.

7. Co-ordinate with Registrar & Share Transfer Agent.

8. Co-ordinate with the shareholders, Investors community

9. Maintain good repo with the external as well as internal directors.

10. Maintaining detailed checklist of the secretarial activities and ensuring timely compliances

11. Drafting and application, petition for M & A transactions and coordinating with external Law firm, ROC, RD, OL, RBI, FIPB etc in that connection.

External & Internal relationships

1. S/he maintains and develops beneficial internal and external relationships to promote and communicate the company’s values.

2. Identify, initiate and develop relationships within the commercial and legal industry including potential law firms thereby enabling the group to use the most appropriate law firm when the need arises.

3. Given the global nature of business, experience in international operations will be an added advantage for the incumbent. Knowledge of international law relevant to the business and experience in statutory compliances across HR, fiscal and corporate laws in India and other geographies would enable the incumbent to successfully deliver in this role.

4. Provide inputs to senior management and HR to enable career development of his/her direct reports.

EXPERIENCE

Must Have:

1. 22 years + experience working in a large MNC organisation known for good governance and with a high profile board

2. Qualified Company Secretary with a high level of technical competence in matters of

3. Company law & Regulatory environment/ framework, both functional and professional

4. Commercially and legally savvy, with a good understanding of how to protect the interests of the company

5. Experience of working with cross-functional and cross-business teams in a matrix organization structure

6. Personality traits that embody the high values and Code of Conduct
