Position Summary:

Job Title: Commercial Lawyer

Location: Abu Dhabi, UAE

Reports To: General Counsel

Division: Legal

Role Objective:

- Provide comprehensive legal support, including contract management, corporate transactional work, and regulatory compliance, while ensuring the company's legal affairs are efficiently managed.

Key Responsibilities:

- Provide expert legal counsel and guidance on all facets of company operations.

- Skilfully draft, review, and negotiate a wide array of commercial contracts, including intricate client contracts, service agreements, and vendor agreements.

- Spearhead international and local corporate transactional work, ensuring meticulous compliance with legal requisites.

- Conduct rigorous legal research to remain abreast of evolving legal developments that may have implications for company operations.

- Develop and meticulously implement cutting-edge legal policies and procedures, aimed at proactively managing legal risks and ensuring unwavering compliance with an array of applicable laws and regulations.

- Offer strategic guidance on complex corporate governance matters, ensuring alignment with best practices.

- Assess potential legal risks with a discerning eye and propose astute risk mitigation strategies, safeguarding the company's paramount interests.

- Play a pivotal role in due diligence investigations, meticulously reviewing legal documents pertaining to mergers, acquisitions, and various other business transactions.

- Offer invaluable legal support in the structuring and execution of intricate corporate reorganizations and dynamic joint ventures.

- Assume a central role in internal investigations, diligently responding to inquiries from regulatory authorities.

- Contribute to the meticulous drafting and discerning review of pivotal corporate documents, including but not limited to articles of incorporation, bylaws, and resolutions.

- Cultivate fruitful collaborations and establish effective liaison with external counsel, leveraging their expertise when requisite.

Qualifications, Experience, Skills & Competencies:

Minimum Qualifications and Experience:

- A law degree from a law school that is accredited.

- England and Wales qualified solicitor.

- In addition, currently employed in a law firm.

- Overall, 6-10 years of experience.

Role Specific Skills:

- The ability to write and negotiate complex commercial contracts.

- Strong written and verbal communication skills in English, as well as the ability to effectively communicate legal concepts to non-legal stakeholders. Arabic would be advantageous but not required.

- Excellent analytical abilities and attention to detail.

- The ability to work independently, handle many projects, and successfully prioritize.

- Proven ability to give competent legal advice.
