Contract Management, M&A, Investment, Acquisition 1. Draft, review and negotiate commercial transactions, frame agreements, contracts, settlements, lease agreements, contract amendments and other contractual terms in collaboration with all stakeholders. 2. Advice on corporate M&A transactions including acquisitions and disposals of businesses (whether by share sale or business sale), as well as joint ventures involving third parties. 3. Review of the NDAs, term sheets and other transaction documents such as Share Purchase Agreement, Share Subscription Agreement, Shareholders Agreement and Strategic Partnership Agreement. 4. Interaction with relevant internal stakeholders and liaising with external counsels and consultants for the completion of the transaction. 5. Work on legal due diligence of potential investee companies and ensure satisfactory completion of pre-closing, closing and post-closing activities. Litigation Management 1. Strategic thinking ability to lead, handle and advise on all litigation matters. 2. Drafting and Vetting Court pleadings, (including affidavits and applications), notices and replies (including statutory, recovery as well as consumer notices). 3. Managing critical as well as consumer matters for Clicktech Retail. 4. Research into new applicable laws regulations and legal regime of new domains of business and advice on regulatory requirements, legal risks, and mitigation strategies. 5. Manage external counsels. Business Advisory 1. Anticipate and identify legal/risk issues of concern to the Business and proactively develop effective strategies, mitigation actions and practical solutions, with a problem-solving mindset. 2. Research and analysis of various policies, bills, amendments, notifications, relating to and impacting the Company. 3. Management of relationship with external stakeholders, adherence to new laws and regulations 4. Advise the concerned departments on various legal issues. 5. Provide necessary support to Clicktech Retail Pvt. Limited Company Secretarial responsibilities 1. Managing affairs of the Board Meeting 2. Dealing in Registrar of Companies matters 3. Ensuring compliance requirements for Clicktech under applicable laws & regulations 4. Advising authorities and Board of Directors in risk management 5. Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the relevant stakeholders
