Mandatory Educational Qualification: 1. Designated as Company Secretary by the Institute of Company Secretaries of India 2. Having Degree into Law from registered university Mandatory Experience: 1. Minimum 10- 12 years of experience in legal/compliance department at the level of Assistant General Manager or above in one or more PSBs or having similar roles in one or more regulated lending entity (NBFC, SFB, MFI). 2. Should have experience in managing Regulatory & Business Compliance. 3. Strong grasp of RBI regulations, code of conduct, business ethics policies and current compliance practices and industry standards in a relevant services space. Role: 1. The position will be reporting directly to CEO / Director. 2. The role of Chief Legal and Compliance Officer is to focus on creating, designing and implementing a legal & Compliance management function that supports the strategic goals of the organization. Responsibilities: Legal - Handling and managing the Litigation of the Company pertaining to various kind of Lending (Loans) on PAN India basis. - Handling litigation of the company under SARFAESI Act, Insolvency and Bankruptcy Code, 2016, Arbitration Act, Consumer Protection Act, Companies Act and Civil Suits etc. - Managing team of Legal Managers for positive, effective outcome of cases to ensure the recoveries in time bound manner. - Monitoring and providing guidance to the team for effective and quick legal proceedings. - Drafting and vetting replies, appeals, writ petitions, suits and applications of the highstake matters and briefing Senior Counsels for legal proceedings under various statues. - To manage the law firms and lawyers who aid in the legal cases, and to review, advise and monitor the developments in Pan India. - Developing strategies, advising management and implementing strategies for the early recovery of dues and for early disposal of the cases. - Advising Operations, collections and credit on various aspects and implications of law, for framing of policies. - Overseeing the responses to legal notices and communicating with different government and law enforcing agencies on behalf of the company. - Briefing the management on the latest laws, for which changes in the policy of the company or change in documentation or updating is required. - Reducing dependence on external counsels for documentation and opinions. Compliance: - Oversee compliance within the company to ensure operational and financial systems and processes are in accordance with relevant legislation. - Establish standards and implement procedures to ensure that our compliance programs are effective in identifying, preventing, and addressing non- compliance with applicable legal and regulatory requirements. - Plan and coordinate regulatory risk assessments to recommend business operation improvements to the top management. - Monitor and analyze deficiencies and irregularities to provide effective solutions. - Communicate with regulatory agencies to ensure the company complies with applicable federal, state, and local laws and regulations. - Report key concerns and violations to the Management. - Ensure RBI compliance, including monthly/ periodical filing of returns, data submission with competent governing authorities as per guidelines and circulars issued by RBI from time to time - Conduct quarterly review of all the compliances of the Company, ensuring that all the changes made in the SOPs/policies of the company are adopted and approved by the board - Leading Secretarial function for the organization which includes Secretarial compliance, financial reporting & financial planning.
