Group Chief Financial Officer Job Responsibilities :

Develops financial well-being of the Group by providing financial projections and accounting services; preparing growth plans; directing staff.

Finance

- Raising of Capital funding through


i. Primary or secondary equity transaction, Rights issue of Equity shares and


ii. Preference Share Capital and being part of the pricing negotiations, legal vetting and due diligence procedures

- Preparation of Business plan and presenting the same before the Board and top Management team

- Analysis of Business operation, trends, costs, revenues, financial commitments and obligations, to project future revenues and expenses or to provide advice and report the outcome as part of monthly MIS.

- Liaising with Banks & Financial Institutions for Debt

- Management of finances of the Company and ensuring that all internal controls are applied and adhered to Enhance and/or develop, implement and enforce policies and procedures of the organization by way of systems that will improve the overall operation and effectiveness of the Company

- Good Knowledge in FCRA (Foreign Currency Regulation Act)

- Secretarial

Handled the following tasks :


a. Conduct of Board/Committee Meetings and General Meetings

b. Maintenance of Minutes Book and other Statutory records in accordance with the requirements of the Companies Act, 2013 (earlier Companies Act, 1956)

c. Filing of Forms and Returns with Registrar of Companies

d. Compliance with Company law matters with regard to Share Accounting, Share Transfers, Transmissions, Splitting, Subdivision, Issue of Duplicate Share certificates, Dematerialization of Shares etc.

e. Appearance before the Honourable Bench of the Company Law Board in connection with Shifting of the Registered Office of the Company

f. Ensured compliance with RBI guidelines issued from time to time for ND-SI-NBFCs such as preparation and submission of applicable returns with RBI

Key Contributions :

1. Mobilization of Funds:

a. Share Capital

i. Equity capital:

- Working closely with Investment Bankers in the preparation of Investor Memorandum and Business plan and preparation of crucial financial workings/data, Responding to the questions from potential investor groups on the financial matters, providing them with the appropriate legal and financial responses in connection with Investor Due Diligence

- Handling all the investor-related matters - providing them the quarterly metrics, responding to their queries pertaining to Calendar year accounts, Financial year accounts and their resp. shareholding

ii. Preference Capital:

- Played a pivotal role in obtaining Term sheet from SIDBI in the form of 9% Optionally Convertible Preference Shares

b. Debt capital :

i. INR denominated debts

- Preparation and submission of debt proposals to Public / Private Sector Banks, Foreign Banks and other financial institutions (NBFCs)

a. Term Loans

b. Cash Credit Facility (FBWC)

ii. Foreign Currency denominated debt (ECB) : Handled the raising of ECB from Off shore Funds

iii. Unsecured unlisted Non-Convertible Debentures (NCD)

- Handled the raising of unsecured unlisted Non-Convertible Debentures from Indian Corporate and other Off-shore Funds

2. Preparation of Finance & Accounting Manuals & Policies:

a. Single-handedly prepared and presented the Finance & Accounting Manual to the Board and Management

b. Prepared the Policy Documents for:

- Asset Classification, Provisioning Norms and Loan write-off policy

- Asset Liability Management Policy

3. Rating agencies:

- Total collection and compilation of all details sought by Rating agencies, liaising with the visiting due diligence team for (a) Bank Loan Rating, (b) Social Rating and (c) MFI Grading with Rating agencies viz. CARE, M-CRIL and CRISIL

4. Accounting and audit

a. Handled Statutory Audits independently and ensured - Nil- Qualification

b. Independently handled Tax Audits and Preparation of Advance Tax Estimates

5. LEGAL

- Worked closely with Law Firms such as M/s. HSB Partners, Chennai and participated in discussions with Senior Lawyers in connection with:

a. Drafting and vetting of the Shareholders Agreement and Share Subscription Agreement and other related agreements connected to Equity raise

b. Drafting of legal responses to stakeholders as the occasion warrants

- Handled Finance and Legal Due diligence by Equity investors.
