Associate / Sr. Associate: Contract Negotiations - OTC Derivatives (Credit Support Annex, IM/VM)

We are a leading alternate legal service provider and talent management solutions company in our industry. Our company is looking for a talented and seasoned Contract Attorney (Derivative Contract Attorney) to join our dynamic legal team. You will perform a range of duties including negotiating contract terms, preparing contracts, evaluating bids, and researching current regulations

Role of Derivative Contract Attorney (Associate / Sr. Attorney)

A derivative contract attorney is responsible for every phase of contract development from researching to negotiating the terms and preparing the final document. Ideal contract specialists should enjoy drafting and editing contracts, demonstrating excellent attention to detail abilities. In addition to being an excellent communicator, you should also possess in-depth knowledge of financial regulations, terminology, agreements, and legal terminology.

Roles and Responsibilities:

- To assist, advise and support businesses for their specific legal queries and legal documentation requirements

- Support the creation of Derivatives agreements (ISDA, CSA, Global Master Repurchase, Securities Lending, CDEA, Loan, Credit Agreements etc. Review best practices and related materials (e.g. standard operating procedures, Playbooks and internal guidance)

- Assist in identifying contractual GAPS, administrative, Risk and Compliance Management of a contract once it's signed off.

- Assist in implementation of these best practices and related materials (e.g. via training, mentoring, guidance), with the goal to improve commercial contracting standards both within the team and across the business over time.

- Providing hands-on support to the team with reviews by providing quality control, monitoring adherence to corporate contracting policies, driving best practices, and with communications on reviews to business teams (including business team escalations).

- Advising on when issues need to be referred or escalated to colleagues in relevant teams such as Legal and providing support on these.

- Act as a facilitator between various support teams and business teams to resolve contract related queries.

- Enabling application of Contract Lifecycle Management tools and processes to reviewed/created contracts including Metrics, Allocation, Risk Tracking and Traceability.

- To align with the relevant teams to ensure compliance with other practices and processes including extracting key contractual obligations in the contract as per the defined SOPs.

- Ensure negotiated documents are streamlined to provide appropriate credit and legal protection to clients.

- Involve in legal research projects from time to time.

- Assist the wider group within the firm in standardizing the documentation process for various regions thereby establishing best practices.

- Addressing queries (raised by internal stakeholders).

- Analyzing and assessing business processes, identifying issues and proposing pragmatic solutions while possessing a strong legal and business judgement.

- Possess a keen eye for detail and be able to capture critical data to be recorded into various systems.

- Extensive experience in drafting and negotiating International Contracts and Agreements, especially ISDA Master Agreement, Global Master Repurchase Agreement, Global Master Stock Lending Agreements, Initial margin and Variation Margin Credit Support Annexures.

- Good Understanding about Initial and Variation Margin Rules, preferably in the ACAP jurisdiction

Qualifications :

- Possess a bachelor's or master's degree in law

- Initial Margin/Variation Margin (IM/VM) India experience

- Experience: minimum 2 to 4 years preferably in Investment Banking / ITES / KPO / In House counsel corporate counsel working on Derivative Documentation

- Sound legal knowledge of law and good understanding of banking industry/banking business and familiarity with products like Loan, Bonds & Commodities

- Should be able to draft & negotiate

- Ability to work under pressure and demanding client/business requirements.

- Should be open to change and recommend process improvement.

- Competence in broad range of banking and business laws

- Should be a great team player with people skills who can effectively and efficiently collaborate and build relationships with business clients at all levels throughout

- Excellent communication and interpersonal abilities.

- Proficient with MS Office skills.
