Job Description : Industry: Fintech, Banking / Financial Services / Web-Aggregator/ Mutual Fund Distributor Functional Area:Legal, Regulatory, Secretarial Role:Company Secretary Reporting to: General Counsel &amp; Head of Compliance Key Skills: Secretarial, JV Management, Regulatory compliances and filings (egRBI, SEBI, IRDAI compliances) policy review and drafting. Effective communication and drafting is essential. Experience: 8-10 years preferably with listed company experience, MNC or startup/funding documentation. Education: Graduate in any discipline and qualified Company Secretary. Candidate having law degree will be preferred. Location: Bangalore preferred or Chennai PRIMARY RESPONSIBILITIES:- - Handling routine and event based secretarial and related regulatory compliances of the group companies including overseas entities secretarial /board relations. - Candidate should be able to conduct and lead the meeting of Board of Directors, shareholders and Committees thereof including preparing notices, agendas, quality minutes of meetings, resolutions etc in compliance with secretarial standards. - Preparing and maintaining the statutory registers and records of group Companies. - Carry out all the filings with various authorities - Drafting and compiling of the Annual Report. - Coordinating with various agencies and regulators like ROC, SEBI, RBI, AMFI, IRDA etc. - Should be capable of advising the Board members and the management on the various compliance requirements. - Compliance with FEMA w.r.t issue and allotment of shares, ODI, Downstream investment etc - Maintaining internal control standards, MIS, trackers, including the timely implementation of secretarial/ compliance related issues arising from internal and external audit points, together with any issues raised by regulators. - Co-ordinating with the Investors and managing compliances under Shareholders Agreements. - Keeping oneself updated with the Legal and regulatory updates and complying with the same. - Advise and assist Compliance and Legal on both ongoing legal risks and anticipate on new legal risks, arising by virtue of new laws or regulations. Legal/compliance: Depending on the skill sets, the candidate will be adequately exposed to due diligence and funding process and compliances/legal work shall be added based on capability and willingness take on additional responsibilities.
