1) Valuation :

- Business & Equity

- Regulatory

- Investment

- Purchase price allocation

- Intangible Assets

- Employee stock option

- Arbitration

2) Due Diligence :

- Financial, Accounting & Tax

- Supporting Legal due diligence review

- Mock due diligence

- Vendor due diligence

3) Mergers And Acquisitions

- Buy side & sell side advice

- On-going advice on grooming for future sale

- Evaluation of strategic options

- Running confidential auction process

- Negotiating all aspects of commercial deal

4) Fund Raising :

- Preparing the company for fund raising

- Advice on business plans and projections

- Access to the right debt and equity providers

- Integrate tax structuring

5) Corporate Restructuring :

- Conceptualization of restructuring options - mergers, demergers, slump sale, slump exchange & capital restructuring

- Scenario/sensitivity analysis and finalization of complete blueprint of selected option

- Drafting legal agreement, Scheme of amalgamation &/or arrangements

- Preparation & submission (along with legal consultants) of documents with SEBI, Stock Exchange(s), Court/NCLT, Regional Director, Official Liquidator & regulatory authorities

- Interaction with various regulatory authorities

- Complete hand-holding from conceptualization till approval

6) Transaction Structuring :

- Structuring transactions in a tax efficient manner & compliant with other legal & regulatory provisions

- Joint venture/strategic partnerships

- ESOP advisory

7) Succession/Inheritance Planning

- Inheritance tax planning

- Advice on settlement of assets

- Advice on tax efficient structure for inter-generational transmission of assets

- Assistance in regulatory compliances including SEBI, FEMA, Income Tax, RBI etc.
