We have a senior vacancy as AVP Legal & CS with our clients who are a professionally managed NBFC based in Mumbai. The position is based in Mumbai & reports to the CFO & CEO

Company Profile: Our client is a recently set-up NBFC which focuses on certain specialized lending verticals (which constitute the fastest growing segments of the BFSI space in USA). The organisation has identified highly potential niche segments and would be using a state-of-the-art technology platform which is being brought into India for the first time in this business to build a leadership position in this segment. The company has launched its business operations in Mumbai about 1 year back with plans to establish presence all across India over the next three years. By then, they aim to have an asset base of Rs 1,000 Cr and 500 employees.

The organisation has been promoted by entrepreneurs who have had a highly successful track record of creating an organisation in a niche segment in the financial services-technology space and managed to maintain leadership position through-out with over 40% market share. The founders have completed a highly successful divestment of the company to a global giant in end 2010, thereby providing continued growth prospects to the company and its 600 employees.

Job Profile: AVP Legal & CS based in Mumbai

Will Head the function and be responsible for the Legal and CS function of the organisation. Will work with the directors and discharge all functions such as matters with ROC, SEBI and other statutory bodies, call board meetings and be responsible for all documentation and records.

Major Job Responsibilities

Legal responsibilities:

1. Expertise in all the aspects of the Company Law, Legal and Statutory Compliances.

2. Drafting and negotiating complex commercial transactions dealing with financing and dispositions.

3. Proactively advising management on legal and commercial risks associated with transactions, proposing suitable risk mitigating actions

4. Competence in drafting and reviewing of MOU’s , indemnity, commercial contracts, legal documents, articles of association, handling arbitration cases etc.

5. Provide asset and corporate level due diligence.

6. Ensuring compliance to all rules and regulations of ROC including various annual filings and representations.

7. Developing and implementing compliance policies, processes and procedures.

Secretarial responsibilities:

1. Convening and organizing board meetings, AGMs, EGMs, preparing agendas, minutes, conveying decisions

2. Follow up actions arising out of the board meetings

3. Providing support to committees and working parties such as the Board of Directors.

4. Maintenance of statutory books under the company act and liaisoning with various agencies in relation with legal and statutory requirements of incorporation of companies

Candidates Profile: CS with regular degree in law having 8 to 20 years of experience in handling Secretarial and legal function independently in NBFC / BFSI organizations.
