AVP - Corporate Legal - NBFC - LLB/LLM

AVP (Individual role) - Corporate Legal with a leading NBFC : NON- LITIGATION & NON MORTGAGE experience only

Education: LLB/LLM

Key Responsibilities:-

Contracts and Agreements:

1. Draft, negotiate, and finalize, execution of financing documents and agreements as per requirements of business teams and evaluate and manage the contractual risk Agreements (Manufacturing Agreement, Marketing Agreement, Product design & development agreement, Testing and Evaluation Agreement, Transport Agreement, Dealership Agreement, Endorsement Agreement, Supply Agreement, Advertising and Marketing Agreement, Vendor Service Agreement, Software (Integration) Agreement, Annual Maintenance Agreement, Non-Disclosure Agreement, Leave and License Agreement, Resource Hiring Agreement, Consultancy Agreement, etc. including negotiations on various clauses with counterparts), MoUs, Addendums, Amendments.

2. Drafting, and negotiating Business transfer & Asset Transfer agreements. Also, various key 3rd party agreements are necessary for the business transfer process such as Product Development, Product Design, Toll manufacturing, Contract Manufacturing, Intellectual Property Licensing and Assignment Agreement, Conveyance Deeds, etc.

Legal Advisory :

Provide strategic legal advice to senior management on a broad spectrum of corporate matters related to financial services.

- Development of checklists, guidance notes, and work instructions, for consistent application of the lifecycle of such contracts. ( For AVP only)

- Monitor case laws, and statutory and regulatory updates having implications for the business of the organization and disseminate information within the organization. ( For AVP only)

- Stakeholder Engagement :

Work closely with internal departments and external stakeholders to address legal considerations and provide guidance.
