Job Description for Contract Review role - Senior
Job Summary :
- Drawing up, vetting & red-lining and negotiating mid to high complexity commercial contracts with third parties/service providers such as (including but not limited to) - Master Services Agreements, Procurement Agreements, Manufacturer Agreements, Distributor Agreement, Software Licensing Agreement, Consulting Agreement, Trademark licensing Agreement
- Ensuring compliance with requested provisions and clauses in the commercial agreements and deliverables with ability to spot and suggest concrete contract changes based on customers requirement, other contracts or general industry benchmarks or practices
- Risk assessment of contracts and, identification of risk mitigation strategies on behalf of legal and contracts/procurement governance structure or customer guidelines
- Working and administrator knowledge of contract review platforms (any specific platform)
- Experience of setting up and/or managing contracts review process for customer, including drawing up of contract playbooks, process health reporting
Educational Requirements :
Law Graduate/Post Graduate
Range of Experience -
5 - 6 Years of experience in contract review as in-house counsel, outsourced contracts review process in LPOs, law firms
Skills required -
Technical :
- Through understanding of legal fundamentals, methods, procedures, commercial and contracts' law fundamentals (common law and exceptions)
- Good understanding of any contract review platform
- Proficiency in drawing up and suggesting alternate to contractual clauses like (but not inclusive of)- Term, Terminations, Renewals, Payment terms, Pricing, Purchase obligations, Purchase Orders, Warranty, Assignment and change of control, Exclusivity, Indemnification, Limitation of Liability, Governing Law, Jurisdiction
Functional :
- Strong analytical skills with high level of attention to detail
- Keen commercial acumen with respect to the commercial contracting
- Proficiency in the MS office - Excel, Word, Power Point
- Strong review and evaluation and English language skills
- Strong communication skills - spoken and written. Openness to new ideas and ability to understand other's points of view and adjusts his/her own approach accordingly
- Good understanding and experience of dealing across cultures shall be added advantage

Responsibilities + Duties :
- Reviewing, analyzing and red-lining of commercial contracts from the different industries, resolving the contracts reviewers queries
- Preparation of review related flow charts, reports and performance analysis reports
- Written communication with the client, Preparation, and consolidation of deliverables, Maintaining of progress and health reports relating to the contract management process
- Reviewing/quality checking the contract review performed by the junior resources. Training on the - User Defined Field- guide, conducting training for new joiners, Creation, and updating of training materials

- Ensuring compliance with requested provisions and clauses in the commercial agreements and deliverables
- Working and administrator knowledge of contract review platforms (any specific platform)
- Experience of setting up and/or managing contracts review process for customer, including drawing up of contract playbooks, process health reporting as per instructions provided

Procurement & Contracts - Operations:
Procurement Operations is considered to be the most valuable function from overall governance prospective. It is mainly responsible for procurement of all support functions i.e. professional service, Information Technology, Facility Management, overseas offices, human resource function, legal function, insurances, Travel, and accommodation, etc. however it is not limited to procurement activities of these functions only. Following are the major activities to be performed by the service provider
- Operational Purchasing management
- Supports Sourcing projects (work with sourcing teams)
- Prepare Tender Strategy reports for Management approval
- Raising and managing RF(x)s as well as Tender issuance in compliance with the DTCM Policy
- Prepare analysis and negotiate with vendors to achieve best value for money
- Prepare Tender result report for management approval and awarding
- Raising and Managing Local Purchase Orders
- Drafting Contracts within SLA driven timelines (annual Contracts)
- Negotiation of Contract with suppliers/vendors
- Filing of documentation as per check lists.
- Supplier Registration and Supplier management
- Supplier Performance Management and monitoring (Quarterly)
