Associate/Senior Manager - Legal - NBFC

1. 4 to 7 years plus, preferably from bank or NBFC in Wholesale/Infrastructure financing or from project finance team of any law-firm

2. Graduate in law

3. In-depth knowledge of fundamental laws such as Contract act, Companies Act, Trust Act, Transfer of Properties Act etc)

4. Up to date knowledge of applicable regulatory framework applicable to NBFCs

5. Up to date knowledge of case laws and legal/regulatory issues pertaining to project/infrastructure financing

Key Responsibilities :

- Work along side other functions to provide legal advice as may be required for day to day operation of the company

- Evaluating infrastructure/project loan proposals to identify legal risks and providing mitigations/solutions wherever possible

- Drafting, negotiating, and finalising term-sheet and loan/debenture documents, security documents (mortgage/pledge/hypothecation etc.), guarantee/undertaking etc.

- Monitoring and ensuring security creation and perfection for the company;

- Assessment of title of borrower on the property mortgaged/to be mortgaged to the company, review of title search reports to highlight legal risks/issues

- Drafting, negotiating, and finalising any other contracts that the company may need to execute, including NDA, vendor agreement etc.

- Providing advice to the internal customers on regulatory and compliance related matters

- Co-ordinating with external lawyers, advisors, counsels etc to ensure timely delivery of work and closing of transactions.
