Work Experience: 10+ years preferably in Consulting (Management/ Strategy), Market Research or experience in Corporate Planning & Strategy Development in large Corporate Houses. Job responsibilities will be : - Client Servicing - Carry out assignments relating to market research, partner/ distributor search, due diligence for companies under the guidance of a manager. - Should facilitate the purchase or consolidation of companies with M&A opportunity from inception to the final Merger. - Thorough analysis of financial statements for risk assessment - Evaluation of business model - Preparation of valuation, projections and project reports - To handle the entire gamut of pre and post merger activities including project evaluation/appraisal, preparation of term sheets/legal documents and negotiation thereof with both the parties - To keep self and the team informed on the relevant regulatory, legal and compliance guidelines - Assist and support his manager in research, data gathering, analysis and report preparation. - Develops and manages relationships with outside parties (potential counterparties, advisors, industry resources, etc.) as necessary - Negotiates with external parties and leads due diligence processes where necessary - Tracks business trends and identify opportunities within the marketplace - Performs market research to determine financial viability of business opportunities and performs scenario analyses - Synthesize information and provide detailed presentations in order to develop and communicate business case for senior management, both at the corporate and business unit level - Meeting companies in India for Primary research & Collect information through secondary research - Would be part of a team and working on multiple projects. - Ensure customer satisfaction through continuous interactions and communications. - Analysis of Balance sheet, Profit & Loss statements as well as involve in doing Company Valuations. - Excellent exposure to structuring options for deals for private/ listed companies - Deep understanding of Indian business environment. - To do a total analysis of M & A opportunities. - Targeting acquisitions opportunities, Research a sector, industry and company. - Analysis of financial/ strength & Weakness of companies and recommend target companies. - Interact with clients to coordinate for requirement assimilation and data collection for completion of various reports. Core Skills : - Good network with the Indian Investment Banking community/Indian Industry captains - We are looking for an individual who has strong and practical experience in financial analysis in the field of mergers and acquisitions. - This involves a very strong understanding and practical experience in various methodologies used for arriving at a true enterprise value of both private and public listed companies. The key area of expertise should be in : - Analysis of profit and loss account, balance sheet and cash flow statements. - DCF (Discounted cash flow) and options valuations. - Acquisitions options like 100% buyout with or without earn out options or partial equity acquisitions with earn out options. - Make presentations which are clear, well thought out. - Excellent communication skills (both written and verbal). - Interpersonal skills. - Good analytical and reasoning abilities. - Strong analytical ability. - Strong presentation skills.
