AVP Legal and Compliance (only NBFC experience) AVP: Legal and Compliance Industry: A Fin-tech venture funded by the largest global investors. Led by star leadership Location: Gurgaon, Haryana Reporting: Chief Financial Officer Roles & Responsibilities : - Will be responsible for all the matters relating to Regulatory Compliances, Legal and Company Secretarial streams of the organization. - Liaison with RBI and other regulatory and other statutory / legal bodies for various Regulatory and other matters including but not limited to RBI Regulations, RBI reporting, Companies Act, 2013, etc. - Organize the Board/committee/shareholders' meetings and manage the stake matters with the Board of directors and investors of the Company. - To act as Company Secretary of the Company and discharge all company secretarial matters. - Drafting and Reviewing of various Polices and ensuring Board/Audit/ internal approval as per the requirements - Drafting, Review and Monitoring of RBI escalated complaints and Ombudsman matters. - Audits: Continuous engagement with various Business and support functions for review of various process and policies. - RBI Inspection - Assisting in RBI inspection incl. obtaining data from various business, review of the data before submission, drafting of response related Inspection observations, Board notes, etc. - Learning & Development - Knowledge Series, Test and learnings for AML-KYC, Fair Practice Code, Data Privacy, Do's & Don'ts's, etc. - Shareholder's Agreement, Subscription Agreement - knowledge of related legal provisions, due diligence and documentation - Preparing documents to updates management on any regulatory changes impacting the company, Policy benchmarking and Regulatory updates and actionable of Peers. - Draft/vet all agreements and negotiate the legal documentation across partners and contracts - Steer compliance guidelines and controls for all regulatory requirements including RBI, Companies Act, etc. - Institutionalize the Legal document and process digitization - Support the Treasury initiatives, Fundraising documentations for the organization Technical Competencies : - Strong understanding of current regulations affecting NBFC (especially NBFC-SI) - Knowledge on Audits & Statutory compliances, Strong understanding of current regulations affecting NBFC companies - Good knowledge of RBI and IRDAI regulations, Companies Act and other Corporate Laws - Regulatory Compliance, Corporate Law, CS, Legal Jobs in BFSI. - Experience on legal and compliance matters with NBFC-SI can be an added advantage Qualification : - Passed Company Secretary Professional Examination & LLB with 8-12 years' experience
