Position Overview:

As a Merger & Acquisition Tax Specialist, your role will involve providing tax advisory services and strategic guidance to the management in mergers, acquisitions, and other corporate transactions. You will work closely with Global Tax Head and senior management and other stakeholders to analyze the tax implications of these transactions and develop tax-efficient strategies. Your expertise in tax law, regulations, and business transactions will be crucial in ensuring compliance and minimizing tax risks associated with M&A activities.

Responsibilities:

1. Tax Due Diligence:

1. Conduct comprehensive tax due diligence reviews for M&A transactions to identify potential tax risks and opportunities.

2. Analyze target companies' financial statements, tax returns, and other relevant documents to assess their tax compliance and exposures.

3. Identify tax-saving opportunities and evaluate the potential tax implications of the proposed transaction.

2. Tax Planning and Structuring:

1. Assist senior management in tax-efficient strategies and structures for M&A transactions

2. Collaborate with cross-functional teams, including legal, finance, and accounting, to align tax planning with overall transaction goals.

3. Transaction Support:

1. Assist in drafting tax-related sections of transaction documents, including purchase agreements, tax indemnities, and tax representations.

2. Time and again co-ordination with external Tax advisor during the Tax DD process

3. Work closely with internal and external stakeholders to coordinate the tax aspects of the transaction, such as tax compliance, reporting, and post-transaction integration.

4. Work with and assist other senior members of the M&A Tax practice with various technical tax issues.

4. Tax Compliance and Reporting in EU/US/Canada region:

1. Ensure compliance with relevant tax laws, regulations, and reporting requirements in relation to various subsidiary/branches in US or EU region

1. Prepares income tax calculations, returns, and disclosures related to entries acquisitions, divestitures, and reorganizations.

2. Stay updated on changes in tax laws and regulations to advise clients on emerging tax issues and opportunities.

Qualifications:

2. Min. hands on experience and expertise in US tax or EU tax for 3 years

MBA or CA with PQE of 5-7 years.

3. Solid understanding of tax principles, laws, and regulations, with a specific focus on mergers, acquisitions, and corporate transactions.

4. Previous experience in tax advisory, transaction tax, or M&A tax within a public accounting firm, consulting firm, or corporate tax department.

5. Strong analytical skills to identify tax risks and opportunities and develop tax-efficient strategies.

6. Excellent communication and interpersonal skills to effectively collaborate with internal teams.

7. Ability to work under pressure, manage multiple projects simultaneously, and meet deadlines.

8. Proficiency in tax software and MS Office suite.

9. Jurisdictions Exposure - EU, US, Canada, Mexico
