Assistant Manager - Legal - Environment Infrastructure Firm (6-8 yrs)

An Environment Infrastructure firm is hiring a Legal+CS professional who can provide active legal and compliance support to the business and projects on all legal and corporate governance matters within the India Cluster. Ensure that Company takes legal and contractual commitments with acceptable levels of risks.

Expectations from Role:

- Provide sound level of legal advice;

- Adept at handling Statutory Compliance matters;

- Pro-actively provide legal support in claim management actions on projects under execution and bids;

- Ensure on-time delivery of legal reviews, legal gap analysis, legal opinions, claims files, pleadings submissions and/or other key documents produced by the legal function for the operational business;

- Preparing and customising template agreements / letters;

- Managing litigations, arbitrations and other dispute matters within India Cluster;

- Handling all corporate law including mergers, joint ventures, alliances, Anti-Corruption law and Anti-Competition law matters within the India Cluster;

- Secretarial Support on all company law and other regulatory and compliance related matters;

- Active participation in client negotiations for major projects; negotiation of terms and conditions;

- Finalizing opinions on legal and contractual matters;

- Advising on all corporate and company law related issues;

- To ensure compliance under Companies Act 2013, Rules, Regulations and other corporate law requirements under SEBI, FEMA, FDI, RBI etc. as and when applicable to ATIL;

- To assist the Board in the conduct of the affairs of Company;

- Advising on good governance practices and compliance of corporate governance norms as prescribed under various corporate, securities and other business laws and regulations and guidelines made thereunder by organising know how sessions for the Board;

- Arranging board/general meetings and preparing minutes thereof;

- Create manuals on good corporate governance, secretarial practices. Filing, registering any document including forms, returns and applications by and on behalf of ATIL as an authorized representative with any statutory authority;

- Maintenance of secretarial records, statutory books and registers;

- Drafting of POA, letter of authorizations etc. for proper delegation of authorities;

- Advising on structuring of current and future business, ECBs, FDI regulations, formation of new companies, conversion of companies, allotment, consolidation, squeeze out etc. as and when required

Skills/Experience/ Technical Skills & Competencies

- Minimum LL.B or any equivalent Law Degree from a recognized university in India; and

- Qualified CS from Institute of Company Secretaries of India.

- Work experience of around 6-7 years in multinational companies preferably in infrastructure/energy sector;

- Must have a minimum of 6 years experience working in infrastructure project related litigations / arbitrations / claim management;

- Excellent communication and presentation skills in English;

- Experience in industrial sectors, preferably in the railway business, in oil & gas or other construction-related fields.

- Familiar with all issues related to company secretarial compliance/corporate advisory in relation to Companies Act, 2013, SEBI etc.

- Excellent Microsoft Office, presentation & MS Excel skills;
