Opening for CA & CS (should hold Company Secretary membership)  Position: Assistant Manager   Qual: CA & CS Completed, (should hold Company Secretary membership)  Exp: Min 1 yr  Location: Chennai  Prefers the only MALE  Accounting & Auditing :   - Examine financial statements to ensure that they are accurate and comply with laws and regulations  - Compute taxes owed, prepare tax returns, and ensure that taxes are paid properly and on time  - Inspect account books and accounting systems for efficiency and use of accepted accounting procedures  - Organize and maintain financial records  - Assess financial operations and make best-practices recommendations to management  - Suggest ways to reduce costs, enhance revenues, and improve profits  Acquisitions & Merger :   - The ability to apply rigorous financial analysis to ensure sound decision making  - An understanding of the tax implications associated with the various forms a transaction may take  - An understanding of the applicable regulatory requirements  - The ability to model and/or critically evaluate business valuations  - Familiarity with the various financing options available as well as the ability to take a leadership role in structuring a financing package, if necessary  - Familiarity with the principles of acquisition accounting and their application  - The ability to plan, coordinate and execute an efficient and effective due diligence review  Investment Portfolio :   - Preparation of the annual Customer Management budget, formal quarterly forecasts as well as monthly updates on the plan, ensuring that the Customer Management team understands the key assumptions supporting the forecast and that that key risks and opportunities are identified.   - Evaluating and challenging Account Management programs in terms of financial benefits and return on expenditure (e.g. balance retention / re-pricing strategies). Re-grounding financial assumptions for Account Management activity based on actual performance.   - Ensure processes that support the control and reporting of marketing expenses are agreed and adhered to. Support the team to mitigate risks against budget/ deliver opportunities for cost reduction as appropriate. Consolidate the revenue analysis for benefits delivery against a plan to monitor actual performance against plan.   Secretarial :   - Vetting & drafting Various Agreements & Contracts.   - Assimilation of various Reports from departments like marketing, Finance, construction etc. and providing it to the Board.  - Ensuring compliances of all Group Companies.  - Maintaining various statutory registers.  - Assisting in preparation of the annual report.   - E-filing of various forms with Ministry & Corporates Affairs.  - Dealing with Banks and regulatory Authorities for various matters.  - Work related to the incorporation of Companies.
