- Scheduling and conducting board, audit and other committee meetings and general meetings as per the requirements of the Companies Act. - Filing of various forms with ROC including forms for condonation of delay, annual filing (XBRL), periodic or event-based filing. - Drafting of Minutes of Board and General Meetings, resolutions, notices, agendas, declarations. - Drafting of Board's Report and documents relating to annual filing of Companies. - Drafting of Memorandum of Understanding - Alteration of Memorandum of Association and Articles of Association and all procedural and filing formalities relating thereto. Procedural e-filing including filing of balance sheets, statement of profit and loss and annual return of Companies as per Companies Act, 1956 as well as Companies Act, 2013. Responsible for complying provisions of Companies Act, FEMA, Listing Agreements &amp; SEBI rules &amp; regulations. - Assistance in conducting the annual general meetings and assistance in declaration of dividend, transferring the unpaid/unclaimed dividend/shares to the IEPF etc. - Handled legal work, arbitration matters, shareholder correspondences. Education Qualifications CS / LLB (preferred) Technical/Functional Expertise - In-depth knowledge Drafting of Minutes of Board and General Meetings, resolutions, notices, agendas, declarations. - Knowledge of Drafting of Board's Report and documents relating to annual filing of Companies. - Knowledge of Compliances related to Company Act, Company law, corporate laws, FEMA, Listing Agreement, Public Issue, RBI, Corporate Governance, Stock Exchange, - Relevant and Total Years of Experience - 8 to 12 years of work experience Good understanding of Companies Act, FEMA, Listing Agreements &amp; SEBI rules &amp; regulations
