Job Description : - Organizing and preparing agendas and papers for board meetings, committees and annual general meetings (AGMs). Taking minutes, drafting resolutions, lodging required forms and annual returns with Companies House. Following up on actions from meetings - Knowledge of SEBI LODR guidelines - Providing support to committees and working parties such as the Board of Directors etc. - Overseeing policies, making sure they are kept up to date and referred to the appropriate committee for approval - Transaction structuring for Legal & general compliances - Provide overall support & guidance to business & functions on legal and compliance issues and ensure speedy response and resolution to in-house queries/ cases. - Design and oversee the company's policy and position on legal matters. - Protect the company against legal risks and violations. - Examine the legal issues related to new products and services and provide solutions/guidance on the same - Responsible for drafting and negotiating all transactional agreements to ensure that the interest of the Company is protected and legal risks are mitigated - Lead regulatory and compliance issues to ensure compliance with all regulations. Liaising with authorities for all types of hospital/business licenses - Provide guidance to the team and implement processes or systems to ensure good management of the organization. - Develop smarter ways to bring productivity in legal & compliance through standardization automation, etc. Key Requirements : - Candidate should be LLB & CS with minimum 7+ years in corporate law & company secretary and should have managed a team and have worked in E-Commerce. - An energetic, self-motivated individual focused on problem-solving, excellent communication & time management. - Demonstrates curiosity and a growth mindset; fosters an environment that supports learning, innovation, and intelligent risk-taking; and exhibits resilience in the face of setbacks.
