AM/Manager - M&A Tax - CA

CA required - AM/Manager - M&A Tax - Mumbai & Bangalore I leading M&A Tax firm

As a part of the team, you will provide restructuring options to clients, advice on the on tax and regulatory implications, perform financial analysis to assess the tax consequences of specific transactions, conduct buy-side and sell-side tax due diligence, etc.

JD:

- Drafting deliverables such as reports, proposals, advice, opinions, emails, presentations for clients

- Identification of the available restructuring options based on understanding of the commercial objectives of the proposed reorganization being contemplated by the management.

- Undertaking detailed fiscal and regulatory review of the proposed reorganization - this would involve evaluation of the various direct tax, company law, SEBI, FEMA, stamp duty, accounting and commercial implications of the available options.

- Review of transaction documents such as business transfer agreement, share purchase agreement and the scheme of arrangement to be filed with the High Court and related documents such as shareholder resolutions, notices, petitions, explanatory statement etc from tax and regulatory perspective.

- Responsible for identifying and highlighting issues involved in various engagements and present potential solutions.
