AM/Manager - Company Secretariat

Need a Company Secretariat for Kolkata based Financial Business Conglomerate.

Job Description:

Designation: Manager / Assistant Manager.

Department: Corporate Compliance & Governance.

Qualification: Company Secretariat.

Relevant Experience: 5+ Years

Job Roles and Responsibilities:

- Compliance with Companies Act 2013 and SEBI related matters including Listing Agreement

- Drafting agenda and minutes for Board and various Committees of the Board

- Notices etc to the shareholders of the Company

- Liaisoning with Regulators including Ministry of Corporate Affairs, SEBI, Stock Exchanges, ROC – WB etc

- Presentations on Corporate Laws

- E-filing of various forms, returns and applications.

- Tabulating critical MIS for top management / promoters

Mandatory Requirements:

Candidate have the experience of handling:

- Committee Meeting

- Candidate must be currently working in a Listed Company in NSE / BSE

- Should have handled shareholder base of around 10000-15000.

- RTA: Registrar & Share Transfer Agent

- COD: Corporate Governance Committee

- SRC: Stake Holders Relation Committee

Key Competencies:

- Very Good Communication Skill (Both Written & Oral)

- Candidates Confidence Level should be High

- Sound Technical Knowledge

- Team Player

- Positive Attitude

- Learner. .
