We are looking for Asst. General Manager for our client in Legal team at Gurugram with a strong focus on Service Agreements and legalities of Merger &Acquisition.
JOB RESPONSIBILITIES:
- Draft, negotiate and review customer and vendor contracts including Master Services Agreementand its Amendments/Renewals, Statement of Works (SOWs), Term Sheets, Change Orders,Request for Proposals (RFP)
- Provide support for all aspects of M&A activity, including structuring, due diligence,documentation and closing. Assist in legal due diligence on target companies. Engaging with and reviewing the work of outside M&A counsels.
MINIMUM QUALIFICATIONS:
- Law degree from a premium law school of India. Minimum experience of 8 years of relevantwork experience.
- Experience in service industry preferably FOOD industry is desirable.
- Should have a good grasp of commercial laws, regulations and legal concepts and policies.
- Should have work experience in M&A transactions in end-to-end processes. Worked on transaction structuring; drafting, and vetting of transaction documents (term sheets, investment agreements, share subscription & shareholders agreements, closing related documents etc.).
