AGM/DGM - Merger & Acquisition - Mining/Steel/Construction Business

- Review, negotiate and finalise definitive documents for the proposed merger including structure of deal

- Involve in M&A deals including fundraising strategies for various group companies

- Due diligence process for the proposed merger entity

- Preparation of an integrated business plan for the merged entity with special attention to Synergies

- Develop understanding of business and create comprehensive industry research reports to identify strategic corporate development, potential mergers and acquisitions targets (M&A), investments and turnaround opportunities.

- Maintain and update financial models, track key industry trends and analyse financial statement to generate investment opportunities.

- Perform commercial due diligence and long-term business plans to recommend avenues of new business opportunities

- Internal coordination with all the support function to facilitate other party's due diligence on

- Engage in various approval process for the transaction with authorities like Competition commission of India

- Facilitate Business due diligence as well as legal due diligence relating to the deal for Investor's consultants

- Review and negotiate Legal Documentations for the transaction viz. SPA, SHA and other Agreements

- Involve in transaction related approvals from authorities like Competition Commission of India, RBI, MOCA, AAI

- Critically analyse the business performance in terms of major KPIs and reflecting those in financial model

- Analysis of various scenarios in near future using financial models to help critical decision making at group level

- Provide assistance in connection with preparing responses to enquiries from regulatory authorities viz SEBI and RBI
