I am urgently looking to hire a Company Secretary for a Large Diversified Business Group in India to be based out of Delhi.  Job Profile:   - Handling all corporate secretarial matters including Corporate secretarial, legal, compliance and governance, stock exchange listing for a Large Diversified Business Group and the other group companies and subsidiaries  - To ensure that meetings such as the Annual General Meeting comply with the organization's governing document and its procedures  - Provide legal & constitutional advice to managers & departments, alongside the Company Secretary, briefing lawyers for advice, when required   - Drafting, vetting legal contracts, documents and matters relating to special projects (if any)  - Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made there under.   Requirements:   - 8+ years of experience in Secretarial and legal matters, preferably with large diversified business group.  - Sound knowledge of LAW and Secretarial matter  - Should be able to formulate strategies to deal with secretarial, legal, compliance related matters  - Experience of dealing with stock exchange listing compliances  - Sound knowledge of industry regulations  - Experience of dealing with secretarial matters of a large and a complex business group.   - Experience of having managed Mergers & Acquisitions, consolidation of companies.  - Internal personal skills to deal with Board Directors, Investors, Senior Councils and law firms  - Understanding of court process / procedures  - Good drafting skills   To apply or to find out more, please feel free to write into me.
