Senior Manager - Contract Job Summary : - The Senior Manager - Contracts, reporting to the Assistant General Counsel - Contracts, is ultimately responsible for supporting the NOIDA based Contracts Team. - The primary focus of the position will be on the supervision of the members of the Contracts Team working in the NOIDA Office, but the individual will also be responsible for analyzing legal issues, drafting documents, and presenting legal advice and recommendations to internal stakeholders. - The Senior Manager - Contracts, in addition to being a member of the Contracts Team leadership, will also serve as a member of the leadership team of the larger Legal Department and shall also be required to interact with other senior members and stakeholders of the business. - The position requires strong legal expertise in U.S. law, keen intelligence, collaborative habits, a hearty work ethic, good team management skills and excellent judgment. Primary Responsibilities : - Identifies and analyzes legal issues in contracts, presents clear recommendations to internal stakeholders, redlines and negotiates with external stakeholders. - Drafts key documents and contracts as needed. - Ensures legal compliance on contract related items. - Assist in the maintenance of legal records and proceedings for the Company. - Supports and takes an active role in the leadership and management of the contracts team. - Provides training and guidance to contract staff as needed. - Supports and leads legal projects as needed. - All other duties as assigned. Job Requirements : - 10+ years of experience with contracts/commercial transactions in a corporate legal department and/or law firm within an international environment; in-house corporate legal department experience preferred. - 2+ years of experience of litigation experience. - 4+ years of experience of managing a team of attorneys and support staff. - Substantial experience in all aspects of contract negotiation, including primary responsibility for management of the negotiation process, coordination of internal stakeholder approval regarding various issues, and drafting of contract language (for standard corporate agreements and when working from proposed customer agreement forms). - Ability to work as part of the global legal function, supporting the U.S.-based business in different time zones. - Ability to work well under pressure in a fast-paced environment and respond to urgent situations, as required. - Strong interpersonal skills with the ability to interact with executives and sales team. - Self-starter with good problem-solving skills and ability to work independently. - Impeccable integrity. - Strong writing and analytical skills to independently review, draft, and prepare contract-related documents. - Strong organizational and project management skills. - Excellent customer service skills with the ability to handle difficult issues in a professional and proactive manner. - Proficient in Microsoft Office suite of programs. Education Requirements : - LL.B.
