DESCRIPTION :   About Zycus :  - Zycus is a leading global player within the Procurement Product sector with a successful track record of delivering projects across Globe through an industry leading innovative approach.  - With more than 200 solution deployments among Global 1000 clients, Zycus has physical presence in virtually every major region of the globe.  - Recognized as a leader in the Gartner MQ 2013 in a market full of consolidations, it is the only company to stand out and emerge as the option to ERP players having a full suite of solutions for the procurement space.  - With global offices across Princeton, Atlanta, Chicago, London,Amsterdam, Australia & Mumbai, Zycus is expanding the reach in Europe & ANZ aggressively.  About the role :  The incumbent will be responsible for the effective and efficient management of the Legal department & ensuring effective management of legal and contractual risks.  He/She will be responsible for :   - Drafting & vetting of various Commercial Contracts such as Software as Service contracts Business Agreements, Product License Agreements, MOU- s, Letter of intent, Non-Disclosure agreements, Teaming agreement, Reseller agreement, Master Services agreement etc.  - Negotiating Legal Contracts with US attorney and concluding Legal documentation thereof  - Draft and maintain various agreement templates.  - Hands on experience in managing contract review team.  - Collaboration with product team members for infringement study of product features in accordance to US laws and for getting patentable ideas for drafting and filing patents in India and US. Hands on experience for searching of USPTO patent database and interpreting claims and specifications of US patents. Handling of USPTO office objections pursuant to examination of patents.  - Hands on experience to understand facts of legal issues and draft legal notice and other replies in accordance to US laws and thereby minimizing external attorney cost  - To research and advise the Company on various Legal matters covering various international Business Laws.  - Managing company secretarial work by collaborating with outsourced Company secretary  - Compliance of other Laws related to the Company  REQUIREMENTS :  - Should have passion in the field of Law and willing to stretch on work if required.  - At least 5 or more years- experience in a similar function with a Software/IT company.  - Candidate should be a graduate/post graduate in law. Graduation or certification in IPR related Laws will be an added advantage.  - Demonstrated (hands on experience) in contract drafting, good negotiation, and execution skills i.e. ability to draft, negotiate and close transactions independently.  - A good understanding and application of, US Contract laws, US patent laws and other international laws, Intellectual Property Laws such as the Patent Laws, - Copyright Act & Rules & the Trade Marks Act and rules.  - Exposure to US Contract laws and patent laws is a must. Exposure to other International contract law or specialization in contracts /commercial law and US -patent laws would be desirable.  - Excellent skill of using standard and advanced features of Microsoft Word for reviewing and drafting contracts.  - Strong communication skills and good command over English (both oral and written) and the ability to ability to communicate legal issues and solutions in an articulate, precise and effective manner  - Should have excellent research, analytical skills and should be able to exercise judgment and discretion to opine on compliance/ legal issues effectively  - Knowledge of, E-commerce  - Good organizational and interpersonal skills, including ability to work effectively within a team and a fast-paced dynamic business environment  - Leverages business understanding / functional expertise to deliver value to customer  - Anticipates potential barriers and develops alternate strategies; formulates an informed action plan to solve the problem  - Personal integrity and the ability to maintain confidentiality and to be a trusted member within the legal/compliance team.  - Experience of catering to the internal customer's queries operating in different time zones.  - Exposure in a global services organization would be of advantage.  BENEFITS :  - Be a part of fastest growing product company.  - An opportunity to lead the dynamic Legal Team.
