Context :   The Company, along with its consistent two digit organic growth over last few years, is also looking growth through inorganic channels - multiple targets are being evaluated at the same point of time. This has led to creation of a new role in core functions which are at the helm of evaluation, acquisition and post-acquisition phases. We are looking for an experienced HR professional who can own this very challenging assignment end to end; including the communication & change management ownership for HR and other functions  Broad Roles & Responsibilities :   - Understand the business challenges and opportunities which are driving the need for inorganic growth  - Involvement in understanding business model of probable acquisition targets to anticipate probable synergies and challenges   - Lead the due diligence from HR function perspective covering all past, present and future risks, commitments and costs  - To handle the entire gamut of pre and post-merger activities including project evaluation/appraisal, preparation of term sheets/legal documents and negotiation thereof with both the parties   - Study and prepare detailed reports on economic, political, cultural, talent availability scenarios for the markets where the target has customers, people or business interests. Highlight possible risks which may come up in future  - Closely interact with Investment Bankers (other intermediaries, if any) and representatives of the target company to understand the softer dimensions/challenges which may come up in due course  - Work very closely with the Finance, Legal, Taxation and business teams on contracts, SPA and NDAs  - Program manages the evaluation and integration of merger and acquisition activity for the HR function for global deals  - Develops relationships with senior-level management within the Company and at target company to reach due diligence conclusions and develop direction for HR integration strategies and activities  - Responsible for managing, delivering and monitoring the implementation of critical HR initiatives, programs and projects as needed and ensuring that deliverables are completed on time and within budget  - Identifies employment liabilities and implements solutions to address them, including local regulatory and compliance restrictions and consultations  Role USP :  - Unique opportunity to get exposure to multiple aspects (HR & business both) of a M&A process  - Opportunity to interact with very seasoned management representatives of the Company, Investment Bankers and probable - targets-   - Own the complete diligence to post announcement change management and integration  Experience :   - 7 to 10 years of experience in a global environment. Involvement in an acquisition process (either side) will be preferred.   Qualification : MBA with specialization in HRM  Travel : May involve extensive travel  Relocation :   Initially the position will be based out of Gurgaon, India. Thereafter, there may be a need for the individual to relocate- (short term to a long term assignment), possibly outside India as well not foreseen immediately though  Other attributes :  - Ability to work on multiple projects/assignments  - Detail orientation  - Hands on and willing to invest time in research/evaluations  - Very good communication skills (verbal and written)  - Self-motivated and driven  Note:  Only candidates with relevant experience in M&A should apply for this.
