Role Description :
CIIE, its initiatives (including INFUSE, Bharat Innovations, Startup Oasis)
Ensure compliance with Companies Act, 2013, Foreign Contributions Regulations Act, SEBI (Alternative Investment Funds) Regulations, Foreign Exchange Management Act
Ensure that CIIE is a fully compliant operating model for the company
Statutory Meetings (Board Meeting, Annual General Meeting, Extraordinary General Meeting)
Prepare notices, agenda, resolutions, and minutes of different statutory meetings
Send notices and agenda to the Board Members within the statutory time period
Circulate the draft minutes to the Board Members for comments
Record the final minutes of the statutory meetings within the statutory time period
Provide certified copy of resolution for various purpose including opening of bank account, seed funding, etc
- Update and maintain all statutory registers and facilitate share transfer process
- Prepare and file annual returns to MCA under Companies Act and MHA under FCRA
- Prepare and file necessary forms and documents including special resolutions, change in directorships, digital signature etc. to MCA
- Obtain and renew the digital signatures for officers of the Company including Directors
- Ensure all necessary filings to SEBI & FIPB for VCF/AIF
- Review the agreements and MoUs related to grants, sponsorships, donation, partnership, contributions, etc.
- Create synopsis, digitalize, store and maintain the signed agreements / MoUs
- Ensure that CIIE adheres to the clauses of the signed agreements / MoUs
- Work very closely with the finance team, investment team, and program managers, as and when required
Startup Related :
Check and verify all funding (equity, grants, loan) related documents such as SSSHA, SPA, documents related to Rights Issue, PPO, Share allotment, necessary resolutions passed by the start-ups and other documents (CP, CS) as required for fund disbursement
Provide shorter notice consents, right issue application forms etc to portfolio companies
Ensure timely response to Income Tax notices received by or for start-ups w.r.t. CIIE
Reporting of receipt of foreign money to RBI and seeking all documents from the portfolio company to ensure timely filing
Ensure that share certificate is received from the start-ups' post fund disbursement and that it is in order
Prepare form MGT-4 & MGT-5 to help portfolio companies file MGT-6
Prepare all relevant documents (letters & agreements) in consultation with the concerned person for getting an exit from the start-up
Approach portfolio companies for the purpose of exits
Guide /solve queries of colleagues /portfolio companies with regards to agreements / MoUs / Companies Act / any applicable law or Act
Develop a tracker/ tool/ dashboard to track the output/metrics/milestones of compliance adhered to, signed agreements / MoUs and disbursement
Stay on the top of the new laws and industry regulations, and advise company and start-ups on any changes that may be necessary to comply with the new requirements.
Work very closely with the finance team and investment team, as and when required
Qualification & Skills :
- Should have 3+ years of relevant experience
- Should be a C.S./LLB
- Should be excellent in written and verbal communication
- Should be proficient in M.S. Office (Advance Level)
- Should be conversant with taxation and compliance related procedures
- Combination of experience in For-profits and non-profits is essential
