Job Title: Manager – Legal & Company Secretary  Grade: Management  Job Description:  - Co-ordination for compliance of all Secretarial matters within the scheduled time frame.  - Drafting of minutes of the Board meetings, committee meetings and general meetings, background notes, attendance at the meetings and co-ordination with all the departments for the agenda to be discussed at the Board meeting.  - Updating and maintenance of Statutory Records as per the Companies Act. Working knowledge of corporate and commercial laws, working knowledge of customs, excise, service tax, FEMA etc. .  - Undertake internal legal matters, co-ordination with external authorities (ROC, RD, CLB, MCA, OL) / Consultants / Counselors/Advocates, on behalf of Company for and against legal matters.  - Undertake preparation / drafting of documents, finalization, registration and execution of Banks / Property / Business Development / HR related documents.  Responsibilities:  - At least 5 years of working experience in Secretarial and Legal Departments of a company.   - Should have the ability to comprehend various regulatory requirements.   - Should undertake compliance activities under Companies Act and other related Acts.   - Hands on experience in prompt and accurate preparation of Board, Shareholders and other Committee Meeting documents.   - Adherence of good Corporate Governance is a must.   - Should be capable of independently liaising with Statutory Authorities, Board Members, Internal and External Stockholders and Other Associates.   - Adherence of Companies Act and all other related Acts/Rules/Regulations with regard to Company Administration and Management, including without limiting to Board Meetings, General Meetings, Committee Meetings, Remuneration of Directors, Related Party Transactions, etc.   - Compliance of FEMA provisions with regard to Issue and Allotment of Shares to Foreign Investors, Foreign Investments, Branch Offices, etc.   - Compliance of Industrial Policies framed by Government of India & Reserve Bank, and seeking necessary clearances.   - Returns/forms to various statutory authorities, like Registrar of Companies, Reserve Bank, Authorized Dealer etc.   - Liaison with Banks, Statutory Authorities on corporate matters.   - Demonstrated ability to work and interact with all Departments throughout the Organization.   - Ability to uphold safety standards participates in continuous process improvement on the job and follows our business best practices.   - Should have the expertise to draft vendor / 3rd party contracts, agreements documents and review.   - Should have the experience and the skill sets to handle all the legal matters of the company.   - To represent the Company in any matters pertaining to any legal disputes.   - Any other roles & responsibilities that may be assigned by the management from time to time.   Compliance:  - Ensure a timely aligned Secretarial, Legal and Compliance set up.  - Overall control & Management of secretarial, legal, labor related regulatory compliance and Insurance of the company.  - Oversee policies and procedures for the general operation of the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct.  - Ensure that company policies and procedures are being followed, and that behavior in the organization meets the company’s Standards of Conduct.  - Creation and Management of monthly reporting systems on Compliance issues ensuring the accuracy, completeness and timeliness  - Monitor and as necessary, coordinate compliance activities to the other departments so as to remain abreast of the status of all compliance activities and to identify trends.  Knowledge, Skills and Abilities:  - Strong management ability and leadership skills to direct teams in a productive and efficient manner to achieve results.   - Able to meet strict deadlines and prioritize work  - Tactful and aware of the importance of confidentiality  - Ability to capture and understand projects and company strategy  - Strong organizational skills and Scrupulous about detail  - Good at building relationships with all kinds of people   - Excellent communication skills  - Strong organizational skills   - Self-motivated and able to motivate others  - Independent and able to delegate well  - High work ethic and professional role model  - Ability to present financial results internally and externally.  - Possess skills to deal with Statutory auditors  Education and Experience:  - LLB & CS  - Previous demonstrated success at senior levels.   - Demonstrated ability to interact and work fruitfully with colleagues and external agencies / authorities (including auditors, Income tax, Service tax, Excise, VAT)  Other Information:  - Employees must adhere to all applicable company policies and procedures.   - Regular and predictable attendance is required.
