Title : Manager - Legal & Company Secretary Business/Function : Support Location : Mumbai Reports to : Head - Corporate Services Additional Information : Responsibilities : - Drafting of Original Agreements, Vendor Agreements, Service Agreements, MOUs, Policy Contracts, etc; vetting of Legal Agreements and overall contract management. - Writing reports, collating information - To ensure compliance of the provisions of Companies Act and rules made there-under, maintaining current awareness about company law. - To prepare the agenda in consultation with the CEO and the other documents for all the meetings of the board of directors and for general meetings. - Excellent analytical skills so as to analyze and opine on various statutory provisions and in identifying the risks involved in the Contracts, Agreements. - Familiarity and experience with e-filings with the Registrar of Companies. - Review and advise management on legal implications of internal policies and procedures. - Maintenance of secretarial records and statutory books and registers. - Should have hands on proven experience in handling all the legal matters of the Company. - Coordination with Advocates in filing suits pertaining to Negotiable Instruments Act, Civil Cases, sending Notices to vendors for Payments, Communication with Government Authorities on legal issues, managing cases related to Customs and Service tax matters including appearance before Court & Tribunals on behalf of the Organization. - Managing procedures relating to Articles of Association, Board constitution. - Convening and servicing Board Meetings, creating agendas, memoranda, taking minutes, conveying decisions, etc. - Managing Circular Resolutions. - Providing support to committees / sub-committes and working groups / parties such as the Board of Directors, etc. - Implementing procedural/administrative systems. - Handling correspondence before and after meetings. - Writing and presenting reports. - Collating information. - Liaising with regulatory and statutory bodies. Requirements : Education : - Company Secretary (CS) - Mandatory - LLB - Mandatory Experience : - 7 yrs to 10 yrs - Should have worked for a private sector IT organization or Bank Skills : - Trustworthy and resourceful - High analytical - Be proactive & takes responsibility - Upholds ethics and values, acts with integrity - Meticulous attention to detail - Communicates clearly and fluently, expresses opinions and arguments clearly, convincingly and forcefully and makes presentations with confidence. - Good organizational and time management skills Salary :10 LPA
