Head - Legal - Retail/Hospitality

Key Responsibilities :

- Drafting and negotiating various Business Contracts, Drafting T& Cs for the websites.

- Compliances: overall compliances within the group - RBI and FEMA compliances for receiving foreign funding.

- M&A related work.

- IPR- sending cease and desist notices, replying to notices received regarding website content, handling cyber-squatting cases, and filing trademark, copyright and patent applications.

- Litigations-consumer matters, criminal matters, trademark/copyright infringement cases, domain squatting cases.

Contract Management :

- Manage the negotiation & drafting and vetting of various kinds of legal agreements including Lease Agreements, licensing, mobile, marketing, content, distribution, e-commerce, Vendor Agreement, Marketing Agreements, Payment Gateway Agreement, Content Partner, Technology Agreement, Development Agreements, Letter of Intent, Memorandum Of Understandings, Franchisee Agreement, Drafting of code of conduct, Non-Disclosure Agreement, Purchase Agreements, Software Agreements etc. and all other commercial agreements.

- Review of various terms and conditions of various offers. Identifying contractual, commercial and operational risks and exposures in the contracts;

Advisory :

Handling legal queries from various in-house departments. Providing advice to the senior management on legal matters. Coordinating with all the departments to assist in Legal and Compliance aspects. Advice management on laws affecting hiring, dismissal, redundancy, disciplinary actions, compensation, benefits and training of company staff; Work with HR management to draft and/or review human resources policies and manuals in order to ensure the company and its employees- rights are protected.

Litigation Support :

Handling Consumer cases and other litigation matters. Contribute effectively on legal matters that arise from time to time in day-to-day working of the company. Litigation/Claims/Government Investigation: Initiate, defend and settle claims, demands and litigations throughout all offices. Effective Liaison with external legal experts on various legal matters.

Compliances :

Ensure and monitor the complete legal compliance of the Company. Obtaining of applicable registrations, licenses and renewals. Licensing requirements, registrations; Service Tax, Provident Fund, Gratuity, Bonus Act and other employment legislation, etc.

Intellectual Property Rights :

Responsible for the handling, filing and maintaining of Trademarks, Copyrights, Patent applications and domain name litigations including infringement claims.

Policy Making/Other :

Active contribution in various internal company policies including vendor guidelines, HR Policies, Sexual Harassment policy, employee code of conduct.

Experience Required :

- Around 8-10 years of experience

- Experience in compliances (including RBI/FEMA and Labour Law)

- Experience in managing any litigation relating to the company

- Experience in handling IPR issues like sending cease and desist notices, handling cyber squatting cases, and filing trademark, copyright and patent applications

- Experience in contracts, including drafting and negotiating them keeping business requirements in perspective
