Head - Legal & Company Secretary  Leading manufacturer operating in the industrial sector is looking for candidates to head their legal and secretarial teams. The responsibilities include the following:  - To ensure affairs of the Company are conducted in compliance with applicable Laws and in consonance with Group governance policies.   - Provide support on risk mitigation initiatives and take lead in identification / mitigation of/from legal risks in operations.  - Interact internally with Departmental Heads on Agreements and legal matters with vendors, suppliers, landlords, service providers etc and support in legal process standardization.  - Managing all legal matters in courts/tribunals etc and representing the organization such Courts / tribunals etc, as and when required.  - Drafting and reviewing contracts and agreements, handling contractual disputes.   - Liasioning with various government and regulatory authorities in respect of various licenses, approvals and compliances related to various activities.  - Coordinate with attorney firms and consultants in pursuance of the duties and responsibilities as required.  - Organize meetings of the Board of Directors / General Meetings and ensure preparatory and follow-up work relating to Board Meetings to ensure compliance with the statute and good governance practices   - Maintain employee trusts and ensure compliance with relevant laws governing the same.  - Maintain various statutory registers and file necessary forms/applications with the Ministry of Corporate Affairs.  - Ensure legal and statutory compliance of the Company including matters relating to Companies Act, Industrial Laws, Factories act, Labor laws, environment protection laws, Information Technology Act etc.  - Provide legal and compliance training to Company employees.  Knowledge, Skills, and Abilities:  - Must have a strong knowledge of corporate and contract laws  - Must have strong analytical skills  - Must have working knowledge of Microsoft Office Tools.   - Must have strong leadership qualities   - Must be fluent in English; and  - Must be open to traveling for business.  Credentials and Experience:   - Graduation or post-graduation with degrees / professional certifications in Law (LLB) and Company Secretary (ACS).  - At least 10 years of post qualification experience, of which at least 3 to 5 years in a similar position, preferably in a multi-national organization. Exposure to manufacturing is desirable.
