Role Title - Company Secretary and Finance Manager

CS, CA and MBA-Finance from a top B-school as a preferred educational qualification and CS as a mandatory requirement.

Supervisor Level - Associate Director Finance

Purpose

Broad Objective of the role

Complying with the Companies Act, holding board meetings

Handling of Sales scorecard, opex, D&I and OID in terms of planned, actuals and budgeted.

Interactions

Key External - Ministry of Corporate affairs, Registrar of companies, Consulting organizations. Distributors of International Business.

Key Internal - All departments budget holders

Role Holder Requirements

Min Qualification & Experience required - CS and CA (with 3 to 4 years of relevant experience)

Any Special knowledge/skill requirement (including geographic)

Technical skills / Business knowledge:

Corporate Law expertise

Drafting skills

Basic knowledge of Pharma policy, Drugs & Cosmetics Act and various applicable laws

Financial Planning Analysis ( forecasting, harmonization of budgets, rationalization of trends)

Open to take up new challenges

Influencing / managing for results - operating in a complex / multi task role

Key Responsibilities

Corporate Law Compliances

- Update on New Companies Act 2013

- Holding Board Meetings and AGM; Preparing Minutes;

- Online filing with MCA and maintaining Statutory Registers;

- All Company Law compliances like Appointment & resignation of Directors, Creation of Charges, Annual Filing, preparing Directors- Report, Annual return;

FEMA compliances;

- CSR compliance - CSR committee meetings, CSR policy, CSR returns and reporting in Directors- report;

- Sexual Harassment Act compliances - Sexual Harassment policy, Committee meetings, and preparing minutes;

- Support Customs in various legal documentation, if any

- Support SCM in case of Drug Licences etc.

- Competition Act compliances and prepare response to various legal notices received by CCI, liaison with CCI officials, if required, appear before CCI for the hearing, if needed;

- Drafting replies to all the legal notices received by Drugs inspector, Pollution Control Board, Legal Metrology Act, CCI, FDAs;

- Draft POAs of various personnel like Directors, personnel for tender submissions, for appearing before Regulatory authorities and Courts;

Financial Planning and analysis

- Involved in Business Plan activities and various other planning related submissions throughout the year.

- Ensuring accurate and timely reporting of monthly, quarter forecasts and budget revisions, annual BP submission, and Five year planning with Cash Flow Deck.

- Sales reporting on monthly basis.

- Drive savings in Opex through constant study and analysis of cost drivers and flagging the alarming situations on immediate basis to the Budget holders.

- Monthly reporting on International Business performance.

- Other financial analysis and reporting
