Role profile  Role title: DGM - Company Secretary Function: Legal  Band: F2 Department: Company Secretary  Reports to: General Counsel Location: Pune  Role purpose:   - The incumbent will work closely with the General Counsel and will play a role of a key Managerial Personnel in the capacity as the Company Secretary and for statutory purposes and responsibility in ensuring adherence to good corporate secretarial and governance practices for web of 16 Companies under the supervision of the VSSI General Counsel.   - To ensure and manage the Corporate Secretarial function for Holding Companies aligned to the VSSI and Departmental goals while maintaining appropriate transparency and self-regulation in line with statutory requirements and expectations of the way and to ensure full compliance with respect to the entity level statutory compliances expected out of Corporate Secretarial function.  - Assist the General Counsel in providing corporate law advisory in terms of structuring the holding company structure.  - The incumbent is also expected to support multiple special projects pertaining to the following: Statutory & Internal Audits, legal advisory on Corporate Social Responsibility initiatives etc under the supervision of the General Counsel.  Key accountabilities and decision ownership   [max 5]:   - Representing the Company as Company Secretary for statutory purposes and responsibility interact with key government personnel and uphold the compliance procedure of the organisation  - Advice on Policy & Statutory Compliance processes and tools & Monitoring mechanism, legal support to Communications teams, ensure periodic Policy reviews and implementation of revisions to Policies.  - Conduct assessments, analyse and formulate policies with the objective of preventing or mitigating the corporate security risk for the organization   - Manage the overall governance structure of 12 holding companies in India Core competencies, knowledge and experience [max 5] :  - Lead SME in Corporate and Tax laws  - Corporate Governance and Statutory compliance  - Corporate Law advisory  - Strong Analytical Skills  - Comfortable with change  - Positive attitude  - Strategic thinking  - Open to learning  Exp : 12-15 Years
