Company Secretary @ Bangalore, India  We are looking for relevant candidates to fill the following position with a client in staffing services domain.  Position : Company secretary  Education : Membership of the Institute of the Company Secretaries of India, Degree in Law from a recognized university  Experience : 7 - 9 years of relevant experience in a medium/large company with exposure to corporate laws. Exposure to IPO listing will be an advantage.  Location : Bangalore (Only Bangalore based candidates being considered as of now )  Compensation : Competitive and commensurate with candidate caliber and experience  Role Responsibilities and Desired Profile:  - Responsible for Implementation and compliance with Companies Act, 2013.   - Drafting and vetting of agreements, MOUs, legal documents relating to corporate, commercial law.   - Compliance under various corporate, commercial and intellectual property laws.   - Implementation of Corporate Governance processes. Drafting of Notices and Agenda for the General Meetings, Board Meetings and Audit Committee Meetings with the aim of smooth conduct the meetings. Preparation and finalization of Minutes of General, Board and Audit Committee Meetings.   - Preparation of Annual Report, Annual Return and Directors Report. Maintenance of Statutory registers, Minutes books and other secretarial records. Conducting Secretarial Audit.   - Mergers and Acquisitions.   - Drafting of Shareholders Agreement, Share Purchase Agreements and Resolutions.   - Appointment and removal of Directors.   - Creation of holding and subsidiary companies.  - Preparation of annual disclosures of directors. Liaising with Registrar of Companies, Company Law Board, Banks, Auditors, SEBI, Stock Exchanges, etc.   - Preparation of and advance reporting of foreign direct investment.  - Preparation of Annual return on Foreign Liabilities and Assets and submission with RBI.   - Other compliance with provisions of FEMA and RBI.   - Compliance with Competition Law. Coordinating with legal counsel, auditors and government offices.   - Should have Membership of the Institute of the Company Secretaries of India, Degree in Law from a recognized university.   - Should have 7 to 9 years work relevant experience in a medium/large company with exposure to corporate laws.   - Exposure to IPO listing will be an advantage.   - Knowledge of corporate laws.   - Business acumen and understanding.   - Excellent written and verbal communication  If you fit in, please forward your CV in Word format along with current & expected CTC, notice period.
