Job Specification:  Experience: 8 to 11 Years  Qualification: Company Secretary   Location: Hyderabad  Industry: Pharmaceutical Company  Job Description:  - Responsible for all aspects of company secretarial functions.  - Compliance with the Companies Act, Listing Agreement (Equity & Debt), SEBI Regulations, Annual Report drafting; Documentation and conducting & assisting in conducting of Board, Committee and Annual General meeting; Bench-marking; ESOP Compliance.  - Maintenance of statutory records such as minutes and registers.  - Documentations, drafting and preparing board meeting agenda/ notes / documentation and minutes of the board meeting and committees of the board.  - Assist in preparation of weekly/monthly/quarterly reports to be submitted to CEO/COO and to different board authorities.   - Conducting board meetings, co-ordination with directors.  - Planning / co-ordination / execution of general meetings of share holders.  - Finalization of annual report sections relating to secretarial and co-ordination for printing and dispatch of the same.  - Responsible for timely printing and dispatch of dividend warrants to shareholders.  - Handling investor related matters such as share transfers, transmissions, revalidation of dividend warrants.  - Ensuring secretarial compliances of group companies and subsidiaries.  - Involved in preparation of presentations in PowerPoint for high level internal / external meetings.   - Assisting in all personal related administration of the functioning authority.  Note: Preferably looking candidates from Pharma & Manufacturing industries.  Pinki Negi GCMS
