Company Secretary & Legal Analyst - FMCG/Manufacturing

- Drafting and negotiating multi - jurisdiction contracts and contractual issues, whether under English law, US law, India law, Singapore law or otherwise. Assisting with Inter-company agreements.

- Responsible for providing legal advice (and for ensuring the legal sufficiency of) all matters that are relevant to GCC, such as, for illustration, contracts, employment, data privacy, litigation, intellectual property enforcement

- Ensures that the GCC management and employees are in Compliance with the rules and regulations of regulatory agencies and that behavior in the organization meets ABI's Global Standards of Conduct including Code of Business Conduct.

- Ensures completion of ABI Global Compliance requirements, often through enforcing ABI standard requirements codified in Compliance and Competition Dashboards and applicable roadmaps with specific action items and delivery dates,

- Carry out all responsibilities of a Company Secretary which include ensure compliance of all company related laws such as Companies Act, 2013 and all other allied laws that may be applicable to the Company

- Arrange and hold meetings of the board and to prepare a correct record of proceedings and to attend the broad meetings in order to ensure that the legal requirements are fulfilled, and provide such information as are necessary,prepare agenda for board meetings, notice and explanatory statements of General meetings

- Preparing and maintenance of minutes of directors meetings and general meetings; ensuring all statutory forms are filed promptly interaction with internal auditors as well as external statutory auditors.
