Our client is a century-old US based company with global operations of approximately USD 500 Million.   In Asia Pacific, it has operations in China, Hong Kong, Taiwan, Japan, India, Singapore, Philippines and Australia.   It has been an industry leader in medical imaging, developing technologies that positively impact patient outcomes. It specializes in HD video and fiber endoscopy equipment, productivity and efficiency software and computer technology, and other imaging products for diagnostic, therapeutic, and research applications in the GI, ENT, Speech, and Pulmonology fields. The company's primary market encompasses hospitals, physician practices, and ambulatory surgery centers (ASCs).   Summary of role:  Main Responsibilities/Main Tasks:  - Responsible for all compliance relating to corporate laws   - Organizing, preparing agendas for and taking minutes of Board Meeting, and Annual General Meetings.   - Maintaining statutory books, including registers of members, Directors and Shareholders.   - Statutory fillings with ROC (Registrar of Companies)   - Preparation or review of Legal Contract including Distributors agreements   - Preparation or review of business contracts   - Experience of Liasioning with regulators, auditors.   - Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.   - Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.   - Overseeing and renewing insurance cover for employees, equipment and premises   - Compliance relating to Labor laws   Qualifications: Education/Experience levels/Skills and Expertise:  - Should possess Company Secretary degree issued by Institute of Company Secretary of India   - ICWA/CA degree would be an added advantage   - More than 5 years- post qualification experience in a mid-size origination   - Strong Communication and General Management skills   - Flexibility, maturity and confidence in dealing with complex situation   Please note, we are looking for candidates based in and around Gurgaon only  Please connect to us for more details.
